OFFICE LEASE <br />This Office Lease (the "Lease ") is made as of the 190' day of April, 2011, between <br />LAKEWOOD HOSPITAL ASSOCIATION, an Ohio non- profit corporation ( "Landlord ") and THE <br />CLEVELAND CLINIC FOUNDATION (OBGYN), an Ohio non - profit corporation ( "Tenant "). <br />11 <br />2. <br />3. <br />PREMISES <br />In consideration of the rents, terms, provisions and covenants of this Lease, Landlord <br />hereby leases unto Tenant and Tenant hereby rents and accepts from Landlord those <br />certain premises containing approximately 4,701 rentable square feet, located In Suite <br />Nos. 300, 310 and 330 on the third floor, which premises are outlined on Exhibit A <br />attached hereto and made a part hereof (the "Premises "), and which Premises are <br />contained in that certain building known as the Lakewood Community Health Center <br />located at 1450 Belle Avenue, Lakewood, Ohio (the "Building "), The Building, together with <br />the land on which it is situated, and all other improvements located thereon are collectively <br />referred to herein as the "Property ". Except as otherwise provided herein, Tenant shall <br />have full and unimpaired access to the Premises and on a non - exclusive basis to the <br />common areas of the Building and the Properly. From and after April 19, 2011 through <br />and including June 30, 2011, the Premises should consist of only SUltes 300 and 310 (a <br />total of 4,611 rentable square feet); on July 1, 2011, Suite 330 (90 rentable square feet) <br />shall be automatically added to the definition of the Premises. <br />TERM <br />2.1 Term: The term of this Lease (the "Term ") shall commence on April 19, 2011 (the <br />"Commencement Date ") and expire on April 30, 2016. The expiration of the Term or <br />sooner termination of this Lease pursuant to its provisions is referred to herein as the <br />"Lease Termination". <br />2,2 Holding Over: If Tenant holds over beyond the expiration of the Initial Term or of any <br />extended Term, Tenant shall be deemed a tenant from month -to -month subject to all <br />the terms of this Lease except that the monthly base rent for such holdover shall be <br />150% of the monthly base rent which was payable by Tenant to Landlord for the last <br />month of the Term prior to such expiration. Nothing herein shall relieve Tenant from <br />vacating the Premises at the end of the Term or any extension thereof, or earlier <br />termination thereof, and Tenant shall be liable to Landlord for any damages which <br />Landlord may suffer as the result of Tenant's failure to vacate the Premises on the <br />date required herein. <br />la "I <br />3.1 Base Rent: Tenant shall pay to Landlord at Landlord's office or at such other place <br />as Landlord may from time to time designate in writing, as Base Rent for the Term, <br />annual Base Rent as follows: <br />Years Annual Base Rent Monthly Installment <br />04/19/11 — 06/30/11 $80,692.50 $6,724.38 <br />07/01/11 — 04/30/16 $82,267.50 $6,855.63 <br />
