FIRST AMENDMENT <br />TO <br />LEASE AGREEMENT <br />This FIRST AMENDMENT TO LEASE AGREEMENT is made and entered into as of the <br />1' day of September, 2012, by and between LAKEWOOD HOSPITAL ASSOCIATION <br />( "Landlord ") and THE CLEVELAND CLINIC FOUNDATION (OBGYN) ( "Tenant'). <br />WITNESSETH: <br />WHEREAS, pursuant to a certain Lease Agreement dated as of April 19, 2011 (the <br />"Lease "), Tenant has leased from Landlord those certain premises known as Suite Nos. 300, <br />310 and 330 on the third floor of the Lakewood Community Health Center located at 1450 Belle <br />Avenue, Lakewood, Ohio and consisting of a total of approximately 4,701 square feet of space <br />(the "Premises ") for a Term which is scheduled to expire on April 30, 2016; and <br />WHEREAS, Landlord and Tenant desire to amend and/or supplement certain of the <br />provisions of the Lease so as to provide for the expansion of the Premises and the amount of <br />Base Rent to be paid therefor, <br />NOW, THEREFORE, for and in consideration of the premises and the promises and <br />covenants set forth hereinbelow, the parties agree that the Lease is hereby amended and /or <br />supplemented as follows: <br />1. Effective September 1, 2012 (the "Effective Date "), the Premises shall be increased by a <br />total of 618 square feet as a result of Tenant expanding into the five (5) rooms plus an <br />allocation of one -third of the connecting Interior corridors, all of which is more fully <br />depicted on Exhibit "A" which is attached hereto and made a part hereof (the "Additional <br />Space "). From and after the Effective Date, wherever in the Lease the term 'Premises" is <br />used, it shall consist of a total of 5,319 square feet and be deemed to include the <br />Additional Space. <br />2. As of the Effective Date, Section 3.1 of the Lease shall be deleted in its entirety and the <br />following new Section 3.1 shall be substituted in lieu thereof: <br />1 <br />
