COOPERATIVE AGREEMENT This COOPERATIVE AGREEMENT (the "Agreement ") between the CITY OF LAKEWOOD, OHIO ( "Lakewood ") and the CITY OF CLEVELAND, 01-II0 ( "Cleveland "), is made and entered into as of this clay of , 2016, wider the following circumstances: WHEREAS, Lakewood and Cleveland have agreed to cooperate pursuant to authority provided under the Constitution and laws of the State of Ohio, including, without limitation, Section 715.02 of the Revised Code, to provide for the improvement of Lakewood Heights Boulevard between certain termini as follows (collectively, the "Lakewood Heights Boulevard Improvements "): o The improvement of Lakewood Heights Boulevard from Chesterland Avenue to Alger Road by preparing the surface, resurfacing and constructing and reconstructing ADA- compliant curb ramps, replacing City roadway signs, concrete sidewalks, driveway approaches and curbs, where necessary together with the necessary appurtenances and work incidental thereto (the " Lakewood Heights Boulevard Resurfacing Project "). WHEREAS, the approximate centerline of Lakewood Heights Boulevard between the termini described above constitutes a portion of the municipal boundary between Lakewood and Cleveland, and the parties hereto wish to provide for the construction and financing of the Lakewood Heights Boulevard Improvements to be undertaken pursuant to this Agreement in an efficient and economical manner to improve eliminate potential hazards to pedestrian and vehicular traffic; and WHEREAS, Lakewood and Cleveland have accordingly applied for and expect to receive (i) from the Northeast Ohio Area Coordinating Agency (NOACA) through ODOT up to [$1,576,281] for the eligible costs of the Lakewood Heights Boulevard Resurfacing Project (ODOT Project ID No. 100257) under a Local Public Authority Agreement between Lakewood and ODOT (the ODOT LPA Agreement attached as Exhibit A); and WHEREAS, Lakewood aid Cleveland have agreed to share the additional costs of the Lakewood Heights Boulevard Resurfacing Project based on the square footage of the improvements in each municipality that being 57% within the City of Cleveland limits and 43% in the City of Lakewood limits; and WHEREAS, Lakewood and Cleveland have determined that Lakewood should be the lead or contracting party in the planning, design, construction and inspection of the Lakewood Heights Boulevard Resurfacing Project; and WHEREAS, the execution and delivery of this Agreement have been duly authorized by the Council of Lakewood by the passage of its Ordinance No. _ -2016 and by the Council of Cleveland by the passage of its Ordinance No. 6/-Z -16.
