Attachment A Subcontract between Design Builder and Subcontractor City of Lakewood Wastewater Treatment Plant Anaerobic Digestion Project ( "Project") This Agreement is a subcontract entered into between the Design Builder (DB) and the Subcontractor in connection with the Project. This Subcontract is required in accordance with the Design/Build Agreement between the DB and the City of Lakewood with respect to the above Project and each subcontractor and /or supplier of the DB is required to execute this agreement as a condition of proceeding forward with its subcontract work and/or supply of materials. Project: The Project is associated with the design, EPA permitting and construction of an anaerobic sewage sludge digestion system (the "Process ") and energy recovery system ( "the Project. ") The waste fueled energy plant will include at a minimum the design, permitting, turnkey supply of the equipment and facility including all site work, installation, start -up, and acceptance testing and operation of a facility that will potentially generate heat and /or electricity which will be used at the Lakewood Wastewater Treatment Plant. This Davis Bacon Project will utilize the Design -Build ( "Design - Build ") Project delivery method. The Public Authority: The City of Lakewood, State of Ohio ( "the City. ") The Design/Build Contract between the DB and the City shall be administered by the City of Lakewood and its representatives, including City Engineer Mark K. Papke, 12650 Detroit Ave., Lakewood, Ohio as more fully addressed in the Contract Documents. ARTICLE 1. CONTRACT DOCUMENTS. - NATURE OF SUBCONTRACT 1.1 The Subcontractor shall perform the entire Subcontract Work as specified and identified as the "Scope of Work" in Exhibit "A." ARTICLE 2 - COMPENSATION 2.1 The DB agrees to pay for the performance of this Subcontract, subject to additions and deductions as provided in the Contract Documents (all of which shall be subject to the approval of the City in accordance with the Contract Documents), the Subcontract Sum of $ comprised of the following: The Subcontract Components of the Subcontract Work are generally described as follow and shall be performed in accordance with the Scope of Work identified in Exhibit "A ": 30 1 P a ,, ,
