Criteria Engineer address for notices is: 8150 Sterling Court Mentor, Ohio 44060 NOW, THEREFORE, in consideration of the mutual promises herein contained, the DB and the City hereby agree as follows: ARTICLE 1. THE PROJECT A. Project Contract Description /Contract Documents This Contract addresses the obligations of the City and the Design Builder (DB) associated with the design, EPA permitting and other applicable permits and construction and improvement of an anaerobic sewage sludge digestion system and energy recovery system ( "the Project. ") The waste fueled energy plant will include at a minimum the design, permitting, turnkey supply of the equipment and facility including all site work, installation, start -up, and acceptance testing and operation of a facility that will potentially generate heat and /or electricity which will be used at the Lakewood Wastewater Treatment Plant. This Prevailing Wages Project will utilize the Design -Build project delivery method. The Contract Documents consist of this Agreement and those documents more fully set forth in the definition of "Contract Documents" appearing in the General Conditions. The Contract Documents are incorporated by reference into this Agreement to be as fully a part of this Contract as if attached hereto or fully rewritten herein, and shall remain in effect during the term of this Contract. This Contract constitutes the complete agreement between the City and the DB and supersedes any previous agreements or understandings. The scope of the Project shall include the design, permitting, site work, construction of new structures and facilities, modification/upgrade of existing structures and facilities, turnkey supply of equipment, installation, start -up, and acceptance testing of a facility that will efficiently and reliably produce Class B Sludge over the next 20 years and generate additional heat and /or electricity which will be used at the Lakewood Wastewater Treatment Plant. To the extent possible, the project should also set the stage for future progresses to Exceptional Quality Sludge (EQS). The Project will be funded through the City's sanitary sewer fund.
