Criteria Engineer address for notices is: 8150 Sterling Court <br />Mentor, Ohio 44060 <br />NOW, THEREFORE, in consideration of the mutual promises herein contained, the DB <br />and the City hereby agree as follows: <br />ARTICLE 1. THE PROJECT <br />A. Project Contract Description /Contract Documents <br />This Contract addresses the obligations of the City and the Design Builder (DB) <br />associated with the design, EPA permitting and other applicable permits and construction <br />and improvement of an anaerobic sewage sludge digestion system and energy recovery <br />system ( "the Project. ") The waste fueled energy plant will include at a minimum the <br />design, permitting, turnkey supply of the equipment and facility including all site work, <br />installation, start -up, and acceptance testing and operation of a facility that will potentially <br />generate heat and /or electricity which will be used at the Lakewood Wastewater Treatment <br />Plant. This Prevailing Wages Project will utilize the Design -Build project delivery method. <br />The Contract Documents consist of this Agreement and those documents more fully set <br />forth in the definition of "Contract Documents" appearing in the General Conditions. The <br />Contract Documents are incorporated by reference into this Agreement to be as fully a part of <br />this Contract as if attached hereto or fully rewritten herein, and shall remain in effect during the <br />term of this Contract. This Contract constitutes the complete agreement between the City and the <br />DB and supersedes any previous agreements or understandings. <br />The scope of the Project shall include the design, permitting, site work, construction <br />of new structures and facilities, modification/upgrade of existing structures and facilities, <br />turnkey supply of equipment, installation, start -up, and acceptance testing of a facility that <br />will efficiently and reliably produce Class B Sludge over the next 20 years and generate <br />additional heat and /or electricity which will be used at the Lakewood Wastewater <br />Treatment Plant. To the extent possible, the project should also set the stage for future <br />progresses to Exceptional Quality Sludge (EQS). The Project will be funded through the <br />City's sanitary sewer fund.
