The Subcontractor shall also require the waiver of any rights to file a mechanic's lien or pursue any <br />claim prior to permitting its sub - subcontractors, suppliers and any other parties or entities participating <br />in the Project to perform any Subcontract Work on behalf of the Subcontractor. In the event of the filing <br />of a mechanic's lien or claim by the Subcontractor, any sub - subcontractor, supplier or other party or <br />entity providing services and/or materials arising from the actions and/or omissions of the <br />Subcontractor, the Subcontractor shall indemnify and hold harmless the City, the Criteria Engineer, their <br />respective heirs, successors, assigns, agents, representatives and employees (collectively, the <br />"Indemnitees ") from all liens, claims, losses, demands, causes of action or suits of whatever nature <br />arising out of any claims or liens asserted. Such indemnification shall extend to any and all damages, <br />losses and expenses, including but not limited to attorney fees, arising out of or resulting from the <br />assertion of any liens and/or claims by any third parties. Such obligation herein set forth shall not be <br />construed to negate, abridge, or otherwise reduce any other right or obligation of indemnity which <br />would otherwise exist or as was or is imposed upon the Subcontractor in accordance with the Contract <br />Documents. <br />6.10 Non - Discrimination. The Subcontractor agrees to fully comply with applicable laws regarding <br />equal opportunity, including ORC Section 153.59; and all of the other conditions associated with non- <br />discrimination imposed in accordance with the terms of the Contract Documents. <br />6.11 Dispute Resolution. The General Conditions of the Contract Documents provide for a dispute <br />resolution process in terms of timing, notice, substantiation, and informal- dispute resolution efforts. The <br />dispute resolution process provided in the Contract Documents shall result in prompt access to the <br />ultimate dispute resolution mechanism_ selected by the parties and the Subcontractor shall abide by such <br />dispute resolution process without exception, including but not limited to joinder in any dispute <br />resolution process as the City determines and directs. Conflicts as to Contract Terns. In the event that <br />any supplemental or other subcontract terms or conditions conflict with the Contract Documents binding <br />the DB and the City, the Contract Documents shall take precedence. <br />6.12 The following exhibits are attached to and are a part of this Subcontract: <br />6.12.1 Exhibit A: Subcontractors' Scope of Work and Schedule of Work to be performed <br />6.12.2 Exhibit B: Insurance Certificate naming the DB and City of Lakewood as additionally <br />insured per the limits in the Contract Documents <br />SIGNATURES <br />IN WITNESS WHEREOF, the parties have executed this Subcontract Form. <br />Subcontractor <br />341Page <br />Design Builder (DB) <br />In <br />
