The Subcontractor shall also require the waiver of any rights to file a mechanic's lien or pursue any claim prior to permitting its sub - subcontractors, suppliers and any other parties or entities participating in the Project to perform any Subcontract Work on behalf of the Subcontractor. In the event of the filing of a mechanic's lien or claim by the Subcontractor, any sub - subcontractor, supplier or other party or entity providing services and/or materials arising from the actions and/or omissions of the Subcontractor, the Subcontractor shall indemnify and hold harmless the City, the Criteria Engineer, their respective heirs, successors, assigns, agents, representatives and employees (collectively, the "Indemnitees ") from all liens, claims, losses, demands, causes of action or suits of whatever nature arising out of any claims or liens asserted. Such indemnification shall extend to any and all damages, losses and expenses, including but not limited to attorney fees, arising out of or resulting from the assertion of any liens and/or claims by any third parties. Such obligation herein set forth shall not be construed to negate, abridge, or otherwise reduce any other right or obligation of indemnity which would otherwise exist or as was or is imposed upon the Subcontractor in accordance with the Contract Documents. 6.10 Non - Discrimination. The Subcontractor agrees to fully comply with applicable laws regarding equal opportunity, including ORC Section 153.59; and all of the other conditions associated with non- discrimination imposed in accordance with the terms of the Contract Documents. 6.11 Dispute Resolution. The General Conditions of the Contract Documents provide for a dispute resolution process in terms of timing, notice, substantiation, and informal- dispute resolution efforts. The dispute resolution process provided in the Contract Documents shall result in prompt access to the ultimate dispute resolution mechanism_ selected by the parties and the Subcontractor shall abide by such dispute resolution process without exception, including but not limited to joinder in any dispute resolution process as the City determines and directs. Conflicts as to Contract Terns. In the event that any supplemental or other subcontract terms or conditions conflict with the Contract Documents binding the DB and the City, the Contract Documents shall take precedence. 6.12 The following exhibits are attached to and are a part of this Subcontract: 6.12.1 Exhibit A: Subcontractors' Scope of Work and Schedule of Work to be performed 6.12.2 Exhibit B: Insurance Certificate naming the DB and City of Lakewood as additionally insured per the limits in the Contract Documents SIGNATURES IN WITNESS WHEREOF, the parties have executed this Subcontract Form.
