SECTION 4.08 Successors and Assigns This Agreement shall be binding upon and shall inure to the benefit of the Grantee and the County and their successors and assigns as permitted hereof. The Grantee shall not assign or transfer any or all of its rights or obligations under this Agreement without obtaining the prior written approval of the County; provided, however, that if the County approves such assignment or transfer, the Grantee and the permitted assigns shall be bound by the terms and conditions of this Agreement. SECTION 4.09 No Apparent Authority /Proper Approvals This Agreement shall be made effective upon execution by the County Executive and the Mayor of the City of Lakewood. Grantee recognizes and agrees that no public official or employee of Cuyahoga County may be deemed to have apparent authority to bind the County to any contractual obligations not properly authorized pursuant to the County Code. SECTION 4.10 Notices Any notices, correspondence or invoices to be rendered under this Agreement by either party to the other may be effected by personal delivery in writing or by certified mail, postage - prepaid, return receipt requested, or overnight mail. Notice delivered personally shall be deemed received upon actual receipt; notice sent by certified mail shall be deemed received on the date the return receipt is either signed or refused; and notice sent by overnight mail shall be deemed received the next business day. Ohio 44115 Grantee: City of Lakewood Attention: Daniel Wyman 12650 Detroit Avenue Lakewood, Ohio 44107 And to: City of Lakewood Attention: Director of Law 12650 Detroit Avenue Lakewood, Ohio 44107 SECTION 4.11 ELECTRONIC SIGNATURE POLICY BY ENTERING INTO THIS AGREEMENT, GRANTEE AGREES ON BEHALF OF THE CONTRACTING ENTITY, ITS OFFICERS, EMPLOYEES, SUBCONTRACTORS, SUB- GRANTEES, AGENTS OR ASSIGNS, TO CONDUCT THIS TRANSACTION BY ELECTRONIC MEANS BY AGREEING THAT ALL DOCUMENTS REQUIRING COUNTY SIGNATURES MAY BE EXECUTED BY ELECTRONIC MEANS, AND THAT THE ELECTRONIC SIGNATURES AFFIXED BY THE COUNTY TO SAID DOCUMENTS SHALL HAVE THE SAME LEGAL EFFECT AS IF THAT SIGNATURE WAS MANUALLY AFFIXED TO A PAPER VERSION OF THE DOCUMENT.
