THE CITY OF LAKEWOOD AND THE CLEVELAND CLINIC FOUNDATION THIS AMENDMENT, dated as of December 31, 2017 is between the CITY OF LAKEWOOD, OHIO (the "City ") and THE CLEVELAND CLINIC FOUNDATION ( "CCF). WITNESSETH: WHEREAS, the City and CCF entered into a certain Agreement, dated as of the 19th day of February, 2015 (the "Agreement'), under which the City authorized police officers appointed by the Cleveland Clinic Police Department to exercise police powers granted under O.R.C. §4973.17 within certain areas located in the City, subject to the limitations included in the Agreement; WHEREAS, the parties now desire to amend the Agreement to add the new family health center being constructed by CCF in the City as a property covered by the Agreement and to extend the term of the Agreement; NOW, THEREFORE, in consideration of the promises herein contained and for other good and valuable consideration, the parties hereto agree as follows: The City and CCF agree that references in the Agreement to "Lakewood Hospital' and to "CCF Property' shall include (i) Lakewood Hospital, located at 14519 Detroit Avenue, for so long as CCF carries on operations at such location; (ii) the Lakewood Family Health Center, located at 16215 Madison Avenue; and (iii) the Family Health Center currently being constructed located at 14601 Detroit Avenue. 2. Section VI. of the Agreement is amended in its entirety to read as follows: Wl. Term This Agreement shall be effective after its execution under the laws of the State of Ohio and shall expire on December 31, 2020. Either party may withdraw from this Agreement upon giving the other party at least thirty (30) days prior written notice of its intent to withdraw." 3. This Amendment is effective December 31, 2017. All other terms and conditions contained in the Agreement shall remain unchanged and in full force and effect. IN WITNESS WHEREOF, the duly authorized officers of the parties have executed this Amendment, as of the date indicated in the first paragraph of this Amendment.
