CODE OF REGULATIONS <br />OF <br />HEALTHY LAKEWOOD FOUNDATION <br />ARTICLE I <br />GENERAL <br />Section 1. Name. The name of the Corporation will be Healthy Lakewood <br />Foundation (the "Corporation "). <br />Section 2. Creation. The Corporation is organized and established as a <br />nonprofit corporation under Chapter 1702, Ohio Revised Code (the "Ohio Nonprofit <br />Corporation Law "). <br />Section 3. Purposes. The Corporation will have such purposes as are now, or <br />may hereafter be, set forth in its Articles of Incorporation, as amended from time to time <br />(the "Articles of Incorporation "). <br />Section 4. Mission. "To advance programs, policies and practices that inspire <br />a Lakewood- community in which health and wellness are reflected in all aspects of life." <br />Section 5. Vision. "Lakewood is a place where all people achieve their <br />fullest health potential." <br />Section 6. Powers. The Corporation will have those rights and powers, <br />express or implied, as are now, or may hereafter be, granted by the Ohio Nonprofit <br />Corporation Law, its Articles of Incorporation, and this Code of Regulations, each as <br />amended. <br />Section 7. Office. The principal office of the Corporation will be in the City <br />of Lakewood, County of Cuyahoga, Ohio, as determined from time to time by the Board <br />of Directors. <br />ARTICLE II <br />MEMBERS <br />Section 1. Membership. The Corporation shall have no Members other than <br />the members of the Board of Directors (each, a "Director" and collectively, the <br />"Directors "). For purposes of any statute or rule of law relating to corporations, the <br />Directors shall be considered the Members of the Corporation, and they shall have all the <br />rights and privileges of Members.
