(b) There is no pending or threatened condemnation or similar proceeding or assessment <br />affecting said property, or any part thereof, nor to the best knowledge and belief of Seller is <br />any such proceeding or assessment contemplated by any governmental authority; <br />(c) To Seller's knowledge, Seller has complied with all applicable laws, ordinances, regulations, <br />statutes, rules, and restrictions relating to said property, or any part thereof; <br />(d) There are water, sewer, gas, and electricity lines to said property which are available for "tap <br />in" by the Buyer and which are sufficient for service on said property without the payment by <br />the buyer of any "tap in" fees. <br />(e) Said property has full and free access to and from public highways, streets or roads and, to <br />the best knowledge and belief of Seller, there is no pending or threatened governmental <br />proceeding which would impair or result in the termination of such access. <br />(f) The Seller has not received, within five years prior to the date of this Agreement, any notices <br />of violation of any laws, rules, regulations and ordinances related to wetlands, the American <br />with Disabilities Act, or environmental obligations. <br />(g) All work and labor performed and all materials furnished with respect to any improvements <br />or repairs to the property have been paid in full, and there will be no mechanic's liens or the <br />possibility thereof in connection with any such work or labor performed on or materials <br />furnished to the property. <br />(h) There are no actions, suits or proceedings against Seller with respect to the property, and <br />there are no investigations or actions, suits or proceedings at law or in equity pending or <br />threatened against Seller that would adversely affect this transaction or the property being <br />sold hereunder. <br />(i) There are no employment contracts, service contracts, or similar contracts or agreements <br />relating to the management, ownership or operation of the property except as set forth on <br />Exhibit B attached hereto and made a part hereof. <br />(j) Seller will assign to Buyer on or before the closing date, by delivering them into escrow, any <br />and all guarantees or warranties with respect to the condition of the property, including all <br />improvements, fixtures, equipment and personal property being conveyed hereunder, that <br />remain in effect and are assignable. <br />(k) All financial statements, rent rolls, and other documents and information given to Buyer <br />accurately reflect the operation of Seller's property, and Seller has not withheld any material <br />information from Buyer relating to the operation of Seller's property. <br />(1) Attached hereto and marked Exhibit C is a true and accurate schedule of insurance carried <br />on the premises. Such insurance shall not be increased between the date hereof and the <br />closing date. No notices or requests have been received by Seller from any insurance <br />company issuing any of such policies which have not been complied with. Any notices or <br />(76322042 ) 4 <br />
