Exhibit A <br />SECOND AMENDMENT <br />TO <br />LEASE AGREEMENT <br />This SECOND AMENDMENT TO LEASE AGREEMENT ( "Second Amendment ") is <br />made and entered into by and between THE CITY OF LAKEWOOD ( "Landlord "), as successor <br />in interest to Lakewood Hospital Association ( "Original Landlord ") and LAKEWOOD CHILD <br />CARE CENTER, an Ohio nonprofit corporation ( "Tenant "). <br />WITNESSETH: <br />WHEREAS, pursuant to a certain Lease Agreement dated as of August 22, 2011, as <br />amended by a certain First Amendment to Lease Agreement effective as of September 1, 2015 <br />(collectively, the "Lease "), Tenant leased from Landlord those certain premises known as Suite <br />100 which is located on the first floor of the Lakewood Community Health Center located at <br />1450 Belle Avenue, Lakewood, Ohio and consists of a total of approximately 6,504 square feet <br />of interior space in Suite 100 and approximately 1,841 square feet of outdoor playground space <br />(collectively, the "Premises ") for a Term which is scheduled to expire on August 31, 2018; and <br />WHEREAS, on December 22, 2015, Landlord acquired fee simple title to the Building <br />from Original Landlord and became Landlord under the Lease; and <br />WHEREAS, Landlord and Tenant desire to amend and /or supplement certain of the <br />provisions of the Lease so as to provide for the extension of the Term of the Lease and the <br />amount of Base Rent to be paid therefor and certain other matters, <br />NOW; THEREFORE, for and in consideration of the premises and the promises and <br />covenants set forth hereinbelow, the parties agree that the Lease is hereby amended and /or <br />supplemented as follows: <br />1. The Term of the Lease is hereby extended for an additional period of five (5) years, <br />commencing September 1, 2018 (the "Effective Date ") and ending on August 31, 2023 <br />(the "Second Extended Term "); provided, however, that solely In the event that Tenant <br />consummates the purchase of a building in the City of Lakewood, Ohio, for the purpose <br />of operating a child care center, as evidenced by the transfer of title to such building to <br />
