27. COUNTERPARTS This Lease may be executed in any number of counterparts, and by each of the parties in separate counterparts, each of which, when so executed, shall be deemed an original, but all of which shall constitute but one and the same instrument. Delivery of an executed counterpart electronically shall be equally as effective as delivery of a manually executed counterpart of this Lease, but the failure to deliver a manually executed counterpart shall not affect the validity, enforceability or binding effect of this Lease. 28. FORMER LEASE OBLIGATION: Landlord and Tenant acknowledge and agree that Tenant currently has continuing obligations to Landlord with respect to the following Lease (the "Current Lease "): a) Office Lease dated as of December 15, 2015 by and between The City of Lakewood ( "Landlord ") as successor in interest to Lakewood Hospital Association and The Cleveland Clinic Foundation ( "Tenant ") for use by its Nursing Institute covering Suite 200 in the Building. As a material inducement for both of the parties to enter into this Lease, the parties hereto agree that from and after the Commencement Date of this Lease (the "Surrender Date "), Tenant's obligations for future payments pursuant to the Current Lease shall cease without further action of the parties; provided, however, that Tenant shall be responsible for the payment of all rent due under the Current Lease which was payable for the period of time prior to and including the Surrender Date.
