Each monthly payment shall be due in advance on the first day of each month of the <br />Term, beginning on the date the Term commences, and continuing on the first day of <br />each calendar month thereafter. Base Rent for any partial month shall be prorated at <br />the rate of 1 /30th of the monthly rent for each day. <br />3.2 'Service Charge for Late Payment: If any installment of Base Rent, additional rent or <br />any other charge provided for herein, or any part thereof, is not paid within ten (10) <br />days after its due date, it shall be subject to a service charge of one and one -half <br />percent (1 -1/2 %) of the unpaid amount due for each month or fraction thereof, or <br />such lesser amounts as may be the maximum amount permitted by law, until paid. <br />3.3 Rent: The term "Rent" as used in this Lease shall include all Base Rent payable <br />pursuant to paragraph 3.1 above and any additional rent payable pursuant to the <br />terms of this Lease. Until further notice, all Rent shall be paid to Landlord at: North <br />Pointe Realty, Inc., 5915 Landerbrook Drive, Suite 350, Mayfield Heights, Ohio <br />44124. <br />4. USE OF PREMISES <br />4.1 In General: Tenant shall use and occupy the Premises for Medical Office and <br />ancillary purposes only and for no other purpose. Tenant shall maintain the Premises <br />in a safe and careful manner, conforming to good housekeeping practices, without <br />permitting any nuisance or committing any waste or exceeding floor load capacities. <br />Tenant shall conform to and obey all laws, ordinances, rules, regulations, <br />requirements and orders of all governmental bodies or authorities respecting its use <br />of the Premises. Further, Tenant agrees not to use the Premises in any manner <br />deemed specially hazardous because of fire risk or otherwise. Other than hazardous <br />substances used in de minimus amounts in the ordinary course of Tenant's business, <br />no volatile or toxic substances or nuclear or radioactive materials shall be brought or <br />kept on the Premises or common areas, or stored therein, without the written consent <br />of Landlord first being obtained. If any of Tenant's operations produce gases, vapors, <br />odors, smoke, residuary material or noise disturbing Landlord or other occupants of <br />the Building, Tenant shall, on Landlord's written demand, cease such operation or <br />install, at Tenant's sole cost, ventilating or other apparatus to eliminate such <br />disturbances. Any unbalancing or overloading of electric equipment or wiring in the <br />Building caused by Tenant shall be alleviated by Tenant, at Tenant's sole cost, <br />immediately. <br />4.2 Rules and Regulations: Tenant and its agents, employees and invitees shall faithfully <br />observe and strictly comply with the Rules and Regulations set forth in Exhibit B <br />attached hereto and made a part hereof, as the same may be amended by Landlord <br />from time to time or hereafter promulgated by any applicable governmental authority, <br />for the care and use of the Premises, the Building, and the common areas of the <br />Property. Nothing in this Lease shall impose upon Landlord any duty or obligation to <br />enforce the Rules and Regulations in any other Lease as against any other tenant, <br />and Landlord shall not be liable to Tenant for Oblation of the same by any other <br />tenant or the agents, employees, licensees or invitees of such other tenant. <br />5.
