CONTRACT FOR THE SALE AND <br />PURCHASE OF REAL ESTATE <br />THIS CONTRACT, dated October. 2019, is between Emerald Light Investments, Ltd., <br />an Ohio limited liability company, c/o Barb Miller, 498 Green Meadows Dr. West, Powell, Ohio <br />43065 ( "Seller "), and The City of Lakewood, Ohio, a municipal corporation c/o Bryce Sylvester, <br />AICP, Director of Planning and Development, City of Lakewood, 12650 Detroit Avenue, <br />Lakewood, Ohio 44107 ( "Purchaser'). <br />1. CONVEYANCE: Seller agrees to sell and convey, or cause to be sold and <br />conveyed, to Purchaser by limited warranty deed, and Purchaser agrees to purchase from <br />Seller, the real estate consisting one (1) parcel commonly known as 18100 Detroit Avenue, <br />Lakewood Ohio (being parcel No. 311 -17 -013) together with an appurtenant easement for <br />vehicular and pedestrian ingress and egress across the parking lot of Seller's retained two (2) <br />parcels being parcels No. 311 -17 -011 and 311 -17 -012 also known as 18100 Detroit Avenue for <br />the sole limited purpose of access to five (5) northernmost parking spaces for use by firemen, <br />invitees and employees of the Purchaser working at the existing adjacent firehouse together <br />with a temporary construction easement and subject to the retained easement of Seller to <br />access and use the seven (7) southernmost parking spaces all designated on the attached <br />preliminary site plan, as more fully described in the attached Exhibit A. (collectively herein the <br />"Premises" or "Real Estate." <br />2. PRICE: The price (the "Price ") shall be One Hundred Thirty Thousand and 00/100 <br />Dollars ($130,000.00). The Price shall be paid at Closing (hereafter defined). <br />3. CONDITIONS: <br />(a) Conveyance shall be subject to matters generally excepted by title insurance <br />companies in their title policies issued in the Ohio; special taxes or special assessments, if any, <br />for improvements not yet completed; installments not due at the date of this Contract of any <br />special tax or special assessment for improvements previously completed, if any; general real <br />estate taxes, if any, for the year in which closing occurs; covenants, conditions, agreements, <br />reservations and restrictions of record; zoning and building laws or ordinances; private, public <br />and utility easements and roads and highways, whether or not of record; all matters which a <br />current, accurate survey of the Premises would disclose; the terms, reservations and conditions <br />of this sale. The deed conveying the subject property shall also contain the following "AS IS" <br />statement: "THE PREMISES ARE SOLD TO AND ACCEPTED BY PURCHASER "AS IS" AND "WHERE <br />IS ", WITH ALL FAULTS, IF ANY, AND WITHOUT ANY WARRANTY WHATSOEVER, EXPRESS OR <br />IMPLIED." <br />
