BILL OF SALE <br />The City of Lakewood, an Ohio municipal corporation and political subdivision ("Seller"), <br />in consideration of the sum of $150,000.00 and other good and valuable consideration to it in hand <br />paid by City of Cleveland, an Ohio municipal corporation and political subdivision ("Buyer"), the <br />receipt and sufficiency whereof are hereby acknowledged, has granted, bargained, sold, alienated, <br />conveyed and confirmed, and by these presents does hereby grant, bargain, sell, alienate, convey, <br />confirm and assign unto said Buyer, its successors and assigns, all of its right, title and interest, if <br />any, in and to the Property as more fully set forth on the attached Exhibit A. <br />TO HAVE AND TO HOLD the same unto the Buyer, its successors and assigns, to its own <br />proper use forever. <br />And the Seller does, for itself and its successors and assigns, covenant, warrant and agree <br />to and with the Buyer, its successors and assigns, that the above -bargained Property conveyed and <br />assigned hereunder are free and clear of all liens and encumbrances created by Seller and that <br />Seller has good right and lawful authority to bargain and sell the same in the manner and form <br />aforesaid, and that it will warrant and defend the same unto the Buyer, its successors and assigns, <br />against all lawful claims and demands resulting from the acts of Seller, except as aforesaid. <br />THE PROPERTY IS CONVEYED "AS IS, WHERE IS" AND SELLER HEREBY <br />DISCLAIMS ALL WARR.A.NTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT <br />LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR <br />INTENDED USE. <br />IN WITNESS WHEREOF, the Seller has hereunto set its hand as of the day of <br />, 2019. <br />The City of Lakewood, an Ohio municipal <br />corporation and political subdivision <br />EUCLID 115 II, LLC, <br />By: _ <br />Name: <br />Title <br />
