Notwithstanding anything herein to the contrary, the entire unpaid principal balance hereof, shall be due <br />and payable at once upon (i) Maker's failure to comply with its obligations under this Note and the Economic <br />Development Fund Loan Agreement of even date, (ii) any of the events occurring in Article VI — Events of Default <br />— of the Economic Development Fund Loan Agreement of even date, or O upon any material breach or material <br />default of the Maker to comply with any and all applicable rules and regulations set by the U.S. Department of <br />Housing and Urban Development for the use and application of the pr©seeds evidenced by this Note that were <br />funded through the federal Community Development Block Grant Program. <br />No delay on the part of any holder her eofn exerting any rights u <br />shall operate as a waiver of any power or right © the non pem,nPance o <br />obligations above mentioned, <br />This Note may be assigned at any time by Payee, xthout the co <br />(Signatures on following page) <br />der and no waiver of any payment <br />cult or non-payment of any of the <br />of Maker. <br />
