<br />MINUTES OF COMMITTEE OF THE WHOLE <br />NOVEMBER 13, 2023 <br />AUDITORIUM <br />Present: Litten, Bullock, Marx, Shachner, Rader <br />lso Present: Mayor George, Director Leininger, Law Director Vargo, Jeffrey Crossman (First <br />A <br />Assistant Law Director) <br />Call to Order: 7:32 p.m. <br />Approval of the minutes of the November 6, 2023 Committee of the Whole Meeting <br />Motion was made by Committee Chair Litten and seconded by Councilmember Shachner to <br />approve the minutes of the November 6, 2023 Committee of the Whole meeting. All in favor, <br />motion passed. <br />ORDINANCE 13-2023A - AN ORDINANCE to take effect immediately provided it <br />receives the affirmative vote of at least five members of Council, or otherwise to <br />take effect and be in force after the earliest period allowed by law, authorizing and <br />directing the Mayor or Director of Planning & Development (Director) to enter into <br />an amendment to the agreement for the sale of 12900 Madison Avenue (Parcel 315- <br />09-022), Lakewood, Ohio. (1st read & referred to COW 11/06/23) <br />Director Leininger provided background information about the initial contract that was approved <br />in July, authorizing the purchase of the City’s property at 12900 Madison Ave. for $200,00 by <br />Lakewood Community Services Center (LCSC). He said that per the terms of the contract, <br />LCSC paid for a commercial property inspection. The inspection report highlighted several items <br />that LCSC was already prepared to address, but it also highlighted several items beyond what <br />LCSC was prepared to cover based on the initial visual inspection. Due to the findings of the <br />inspection report, LCSC requested that the city reduce the agreed upon purchase price. LCSC <br />estimated an additional cost of $116,600 in repairs beyond what they had originally budgeted for <br />and they requested a dollar for dollar reduction. After negotiations both parties agreed to a <br />reduction of $70,000 bringing the new purchase price to $130,000. <br />Chairman Litten asked if there were any findings in the inspection report that the City contested <br />or questioned. Director Leininger responded that there were about $12,000 in items that they felt <br />LCSC should have factored in before the formal inspection, which reduced the total asking <br />amount to $104,600. <br />Councilmember Rader asked if the outcome of who won the bidding process would have been <br />different if the information from the inspection report was made available before the RFP was <br />released. Director Leininger replied that it would have helped inform the process but he did not <br />believe it would have changed the outcome. He said the city decided not to incur the inspection <br />costs because even if they did, the buyer would likely still pay for their own inspection report. <br />1 <br /> <br />
