<br /> AN EMERGENCY ORDINANCE approving the assignment
<br />franchise from Complexicable, Inc., an Ohio Corporation,
<br />Cable Corporation, an Ohio Corporation.

<br /> WHEREAS, with the adoption of Ordinance 55-82 on September
<br />20, 1982, this Council granted to Complexicable, Inc.,' an Ohio
<br />Corporation, an non-exclusive cable television franchise for a period
<br />of 15 years to serve seven high-rise, apartment complexes, and
<br />
<br /> WHEREAS~ Section 19 of said Ordinance 55-82 provides that
<br />said franchisee shall not sell, lease, assign or otherwise alienate
<br />said franchise or any privilege thereunder without the prior approval
<br />of Council, and
<br />
<br /> WHEREAS, Complexicable, Inc. has advised the City that,
<br />subject to such approval of Council, it proposes to sell all of its
<br />assets including the assignment of the franchise to the Shamrock Cable
<br />Corporation, 2229 Smith Court, Rocky River, Ohio, and
<br />
<br /> WHEREAS, the application of Complexicable, Inc. to assign to
<br />Shamrock Cable Corporation its rights and interests in the City of
<br />Lakewood cable franchise has been considered, and
<br />
<br /> WHEREAS, this Council determines that it is in the best
<br />interest of the City and particularly those residents of the apartment
<br />complexes serviced by Complexicable, Inc. to approve said assignment
<br />to Shamrock Cable Corporation, and
<br />
<br /> WHEREAS, this ordinance constitutes an emergency measure
<br />providing for the immediate presevation of the public welfare for the
<br />further reason that Council wishes to facilitate the completion of the
<br />above mentioned transaction without undue delay; now, therefore,
<br />
<br /> BE IT ORDAINED BY THE COUNCIL OF THE CITY OF LAKEWOOD, STATE
<br />OF OHIO:

<br /> Section 1. That, pursuant to Section 19 of Ordinance 55-82
<br />adopted by this Council on September 20, 1982, this Council hereby
<br />grants its approval of the voluntary sale of Complexicable, Inc. to
<br />Shamrock Cable Corporation and the consequent assignment of the cable
<br />franchise granted by said ordinance from the Seller to the Purchaser
<br />thereof.
<br />
<br /> Section 2. Council directs that the assignment of said
<br />franchise by Complexicable, Inc. and the acceptance thereof by
<br />Shamrock Cable Corporation agreeing to abide and perform according to
<br />the terms and provisions of Ordinance 55-82, be noted upon the
<br />original ordinance on file with the Clerk of Council and shall be in
<br />such form as approved by the Director of Law.

<br /> Section 3. It is found and determined that all formal
<br />actions of this Council concerning and relating to the passage of this
<br />ordinance were adopted in an open meeting of this Council, and that
<br />all such deliberations of this Council and of any of its committees
<br />that resulted in such formal action, were in meetings open to the
<br />public, in compliance with all legal requirements including Section
<br />121.22 of the Ohio Revised Code.

<br /> Section 4. That this ordinance is hereby declared to be an
<br />emergency measure for the reasons stated in the preamble hereof and
<br />
