ORDINANCE NO. 8'/~-88 <br /> <br />By: Chinnock, Gallagher, Gazzana, <br /> George, Graham, Wendling <br /> <br /> AN EMERGENCY ORDINANCE terminating that certain contract <br />between the Regional Income Tax Agency and the City of Lakewood whereby <br />data processing semites have been provided to the City of Lakewood by <br />the Regional Income Tax Agency, and providing for giving notice of the <br />termination of the contract to the Regional Income Tax Agency, pursugnt <br />to t~ provisions of the contract. <br /> <br /> I~ERF~S, the City Df Lakewood, Ohio (the "City") and the <br />Regional Income Tax Agency ("RITA") have previously entered into a <br />contract dated December 19, 1983 (the "tontract") whereby the City and <br />RITA agree that (i) the .City will pay certain System Component Software <br />License and maintenance Support Charges and Environmental Software <br />Installation Charges (the "Software System Charges"), (ii) RITA will pay <br />certain charges on behalf of the City with respect to certain services <br />to be provided by Xerox Computer Services ("Xerox"), if such services <br />were used by RITA, and (iii) RITA will provide a certain computer hard- <br />ware system and will provide the City with certain data processing <br />services; and <br /> <br /> WHEREAS, the provisions of the Contract ~ro~ide that the City <br />may now terminate the Contract at any time prior to its ~.piration at <br />the City's option; and <br /> <br /> WHEREAS, this Council hereby determines and finds that for the <br /> purposes of efficiency in operation, security of data within the System <br /> described in the Contract, and for the cost effective operation of'the <br /> City's data processing and management information system, the City <br /> should exercis~ its option to terminate said Contract with RITA and to <br /> give RITA notice'thereof; and <br /> <br /> WHEREAS, this Ordinance is an emergency measure which is <br /> immediately necessary for the preservation for the public peace, prop- <br /> erty, health, safety and welfare in the City and for the further reason <br /> =hat it is necessary to give RITA notice of this action taken by this <br /> Ordinance so as to. allow the Ckty to secure the efficiencies, security <br /> of data and cost effective operation as described in the next proceeding <br /> branch of the preamble to this Ordinance at'the earliest possible time. <br /> NOW, THEREFORE, B~ IT ORDAINED by the City of Lakewood, <br /> Cuyahoga County, Ohio: <br /> <br /> Section 1. This Council hereby exercises, on behalf of the <br /> City, its option to terminate the Contract currently existing between <br /> the City and RITA and such Contract. is hereby terminated, which termina- <br /> tion shall be effective at'the earliest possible time. <br /> <br /> Section 2. The City's Director of Finance is hereby au- <br /> thorized and directed to give notice of this Council's action to termi- <br /> nate the Contract in the manner described..or referred to in the Con- <br /> tract. <br /> <br /> Section 3. It is found and determined that all formal actions <br /> Of this Council concerning and relating to the passage of this Ordinance <br /> were adopted in an open meeting of this Council, and that all such <br /> deliberations of thi~ Council and any df its committees that resulted in <br /> such formal action, were in meeting open to the public, in compliance <br /> with all legal requirements including the City's Charter and Codified. <br /> Ordinances and section 121.22 of the Ohio Revised Code. <br /> <br /> <br />
