84-88 Terminate contract with RITA

ORDINANCE NO. 8'/~-88 By: Chinnock, Gallagher, Gazzana, George, Graham, Wendling AN EMERGENCY ORDINANCE terminating that certain contract between the Regional Income Tax Agency and the City of Lakewood whereby data processing semites have been provided to the City of Lakewood by the Regional Income Tax Agency, and providing for giving notice of the termination of the contract to the Regional Income Tax Agency, pursugnt to t~ provisions of the contract. I~ERF~S, the City Df Lakewood, Ohio (the "City") and the Regional Income Tax Agency ("RITA") have previously entered into a contract dated December 19, 1983 (the "tontract") whereby the City and RITA agree that (i) the .City will pay certain System Component Software License and maintenance Support Charges and Environmental Software Installation Charges (the "Software System Charges"), (ii) RITA will pay certain charges on behalf of the City with respect to certain services to be provided by Xerox Computer Services ("Xerox"), if such services were used by RITA, and (iii) RITA will provide a certain computer hard- ware system and will provide the City with certain data processing services; and WHEREAS, the provisions of the Contract ~ro~ide that the City may now terminate the Contract at any time prior to its ~.piration at the City's option; and WHEREAS, this Council hereby determines and finds that for the purposes of efficiency in operation, security of data within the System described in the Contract, and for the cost effective operation of'the City's data processing and management information system, the City should exercis~ its option to terminate said Contract with RITA and to give RITA notice'thereof; and WHEREAS, this Ordinance is an emergency measure which is immediately necessary for the preservation for the public peace, prop- erty, health, safety and welfare in the City and for the further reason =hat it is necessary to give RITA notice of this action taken by this Ordinance so as to. allow the Ckty to secure the efficiencies, security of data and cost effective operation as described in the next proceeding branch of the preamble to this Ordinance at'the earliest possible time. NOW, THEREFORE, B~ IT ORDAINED by the City of Lakewood, Cuyahoga County, Ohio: Section 1. This Council hereby exercises, on behalf of the City, its option to terminate the Contract currently existing between the City and RITA and such Contract. is hereby terminated, which termina- tion shall be effective at'the earliest possible time. Section 2. The City's Director of Finance is hereby au- thorized and directed to give notice of this Council's action to termi- nate the Contract in the manner described..or referred to in the Con- tract. Section 3. It is found and determined that all formal actions Of this Council concerning and relating to the passage of this Ordinance were adopted in an open meeting of this Council, and that all such deliberations of thi~ Council and any df its committees that resulted in such formal action, were in meeting open to the public, in compliance with all legal requirements including the City's Charter and Codified.
