<br /> RESOLUTION NO. 6150-87 BY: Brown, Chinnock, Gallagher, <br /> Graham, McBride, Salmon, Wendling <br /> A RESOLUTION to incorporate into the records of Lakewood <br /> <br /> City Council the formal procedure for the appointment and nominations <br /> by Council of members of the Governing Board of Lakwood Hospital <br /> <br /> Association, a non-profit hospital agency. <br /> WHEREAS, pursuant to a Lease executed by the City on March <br /> 16, 1987, the City of Lakewood, Ohio, as Lessor, did lease real and <br /> personal property for the operation of Lakewood Hospital to Lakewood <br /> <br /> Hospital Association, as Lessee, and transferred to said Association <br /> all liabilities, debts, monies, accounts and inventories of the <br /> Hospital, so that operations would continue as in the past, and <br /> WHEREAS, under said Lease, the Hospital will be governed by <br /> the Lakewood Hospital Association Board of Trustees ("Governing <br /> Board") consisting of twenty-one members, two of whom shall be members <br /> of Lakewood City Council and five of whom shall be nominated by <br /> Council, and <br /> WHEREAS, said lease agreement provides fox the procedure for <br /> the appointment and nomination by Council of the seven above- <br /> <br /> mentioned Governing Board memberships and by which Councilmanic imput <br /> to the Board is provided; now, therefore, <br /> BE IT RESOLVED BY THE COUNCIL OF THE CITY OF LAKEWOOD, STATE <br /> OF OHIO: <br /> Section 1. That Council hereby incorporates into the <br /> records of Lakewood City Council the procedure for the appointment <br /> and nomination by Council of members of the Governing Board of <br /> Lakewood Hospital Association, a non-profit hospital agency, as <br /> follows: <br /> 1. Two members of Council shall be representatives of the City <br /> and members ex officio of the Governing Board with all the <br /> privileges and emoluments of such membership including <br /> voting rights. The members of Council to be members of the <br /> Governing Board shall be selected by Council by a majority <br /> vote of all of its members with, if more than one political <br /> party is represented in Council, one from each of the two <br /> political parties having the largest and second largest <br /> number of representatives on Council as of January 2 of the <br /> year in which the two year term commences and those <br /> initially selected shall serve until December 31, 1987 or in <br /> each case until that person ceases to be a member of <br /> Council, whichever is earlier. In the event a member of the <br /> Governing Board so selected by Council ceases to be a member <br /> of Council prior to the expiration of his term, the vacancy <br /> in the Governing Board created thereby shall be filled for <br /> the unexpired term by Council in the same manner as the <br /> original appointment. <br /> 2. The Council shall nominate two persons to serve as members <br /> of the Governing Board. The persons so nominated shall be <br /> considered by the Governing Board in its capacity as the <br /> members of the Lakewood Hospital Association which <br /> Governing Board may, but need not, elect one or more of the <br /> nominees as members of the Governing Board and shall request <br /> the Council to nominate additional names for the position <br /> not filled. The term of the members elected pursuant to <br /> this paragraph shall be five years except that of the <br /> persons initially selected pursuant to this paragraph one <br /> nominated by the Council shall serve until December 31, <br /> 1988, and the other until December 31, 199fd. Thereafter the <br /> Council shall deliver the names of persons nominated <br /> pursuant to this paragraph to the Lakewood Hospital <br /> 1 <br /> <br />
