DocuSign Envelope ID: 27CE1015-8397-4CCE-9DD9-31 F514ECBED3 Referred to COW 11/06/23 ORDINANCE NO. 13 — 2 0 2 3 A BY: Baker, Bullock, Litten, Marx, Rader, Shachner AN ORDINANCE to take effect immediately provided it receives the affirmative vote of at least five members of Council, or otherwise to take effect and be in force after the earliest period allowed by law, authorizing and directing the Mayor or Director of Planning & Development (Director) to enter into an amendment to the agreement for the sale of 12900 Madison Avenue (Parcel 315-09-022), Lakewood, Ohio. WHEREAS, Ordinance No. 13-2023 authorized the sale of 12900 Madison Avenue, Lakewood, Ohio; and WHEREAS, Lakewood Community Services Center (Buyer) completed due diligence inspections of 12900 Madison Avenue as authorized by agreement; and WHEREAS, the resulting inspection reports identified an estimated $116,600 in additional repairs to the building that were not considered in offering purchase price of $200,000; and WHEREAS, in consideration of these additional repairs, the Buyer and City have negotiated a revised purchase price of $130,000; and WHEREAS, this change in purchase price is considered a substantial change requiring approval of City Council and in order to allow for this negotiation and approval to occur the Buyer and City have executed a first amendment extending certain dates of the agreement; and WHEREAS, this Council has determined it is in the best interest of the City to sell said real property under the terms of the amended agreement to Lakewood Community Services Center and that such sale shall further the interest of the City and its residents; and WHEREAS, as set forth in Section 2.12 of the Third Amended Charter of the City of Lakewood, this Council by a vote of at least two thirds of its members determines that this ordinance is an emergency measure and that it shall take effect immediately, and that it is necessary for the immediate preservation of the public property, health, and safety and to provide for the usual daily operation of municipal departments, in that this property is currently vacant and should be renovated and occupied; now, therefore BE IT ORDAINED BY THE CITY OF LAKEWOOD, OHIO: Section 1. The Mayor or Director is hereby authorized to enter into an amendment to the agreement with Lakewood Community Services Center, in substantially the same form as Exhibit A. for the sale of 12900 Madison Avenue, Lakewood, Ohio to Lakewood Community Services Center. Section 2. The Mayor or the Director is hereby authorized and directed to enter into all agreements and related instruments for the sale of said real property.
