DocuSign Envelope ID: 27CE1015-8397-4CCE-9DD9-31 F514ECBED3 <br />Referred to COW 11/06/23 <br />ORDINANCE NO. 13 — 2 0 2 3 A <br />BY: Baker, Bullock, Litten, Marx, <br />Rader, Shachner <br />AN ORDINANCE to take effect immediately provided it receives the affirmative vote of <br />at least five members of Council, or otherwise to take effect and be in force after the earliest <br />period allowed by law, authorizing and directing the Mayor or Director of Planning & <br />Development (Director) to enter into an amendment to the agreement for the sale of 12900 <br />Madison Avenue (Parcel 315-09-022), Lakewood, Ohio. <br />WHEREAS, Ordinance No. 13-2023 authorized the sale of 12900 Madison Avenue, <br />Lakewood, Ohio; and <br />WHEREAS, Lakewood Community Services Center (Buyer) completed due diligence <br />inspections of 12900 Madison Avenue as authorized by agreement; and <br />WHEREAS, the resulting inspection reports identified an estimated $116,600 in <br />additional repairs to the building that were not considered in offering purchase price of <br />$200,000; and <br />WHEREAS, in consideration of these additional repairs, the Buyer and City have <br />negotiated a revised purchase price of $130,000; and <br />WHEREAS, this change in purchase price is considered a substantial change requiring <br />approval of City Council and in order to allow for this negotiation and approval to occur the <br />Buyer and City have executed a first amendment extending certain dates of the agreement; and <br />WHEREAS, this Council has determined it is in the best interest of the City to sell said <br />real property under the terms of the amended agreement to Lakewood Community Services <br />Center and that such sale shall further the interest of the City and its residents; and <br />WHEREAS, as set forth in Section 2.12 of the Third Amended Charter of the City of <br />Lakewood, this Council by a vote of at least two thirds of its members determines that this <br />ordinance is an emergency measure and that it shall take effect immediately, and that it is <br />necessary for the immediate preservation of the public property, health, and safety and to provide <br />for the usual daily operation of municipal departments, in that this property is currently vacant <br />and should be renovated and occupied; now, therefore <br />BE IT ORDAINED BY THE CITY OF LAKEWOOD, OHIO: <br />Section 1. The Mayor or Director is hereby authorized to enter into an amendment to the <br />agreement with Lakewood Community Services Center, in substantially the same form as <br />Exhibit A. for the sale of 12900 Madison Avenue, Lakewood, Ohio to Lakewood Community <br />Services Center. <br />Section 2. The Mayor or the Director is hereby authorized and directed to enter into all <br />agreements and related instruments for the sale of said real property. <br />
