"Prime Rate" means the interest rate announced from time to time by " Bank One, Columbus, NA at its principal office in Columbus, Ohio by such bank as its prime rate. Subject to any minimum or maximum rate specified by applicable law, the Prime Rate will automatically and immediately change from time to time and be effective as of the effective date of each such change of the prime rate of such bank. "Project" means collectively (a) the real estate at the time compris- ing the Project Site, as defined in the Agreement and (b) the real and person- al property at the time comprising the Project Facilities as defined in the Agreement, together constituting a"project" as defined ir the Act. "Project Purposes" means acquiring real and personal property comprising an industrial facility to be used for the design, manufacturing and marketing of conveyor systems or any other use which may be permitted under the Agreement. "Register" means the books kept and maintained by the Registrar for registration of principal and stated interest on the Bond and for registration of transfer of the Bond. "Registrar" means the person designated by the Issuer from time to time to keep and maintain the Register, to act as authenticating agent, bond registrar and transfer agent. - "Revenues" means (a) the Loan Payments, (b) all other moneys received or to be received by the Issuer, or the Holder for the account of the Issuer, in respect of repayment of the Loan, and (c) all income and profit from the investment of the Loan Payments-and such other moneys. "State" means the State of Ohio. Any reference herein to the Issuer, to the Legislative Authority, or to any member or officer of either, includes entities or officials succeeding to their respective functions, duties or responsibilities pursuant to or by operation of law or lawfully performing-their functions. Any reference to a section or provision of the Constitution of the State or the Act, or to a section, provision or chapter of the Ohio Revised Code includes that section or provision or chapter as amended, modified, revised, supplemented or super- seded from.time to time; provided that no such amendment, modification, revi- sion, supplement or superceding section, provision or chapter shall be appli- cable solely by reason of this provision, if such change in any way consti- tutes an impairment of the righi?s. or obligations of the Issuer, the Holder or the Company under this Bond Legisiation, the Bond, the Agreement, the Assign- ment, the Mortgage and the Note or any other instrument or document entered into in connection with any of the foregoing, including, without limitation, any alteration of the obligation to pay the Bond service charges in the amount and manner, at the times, and from the sources.provided in this Bond Legis- lation, the Mortgage and the Agreement, except as permitted herein.
