ORDINANCE NO. 81- 60 <br />INTRODUCED BY: Mayor & Council as a Whole <br />AN ORDINANCE PROVIDING FOR RETAINING CERTAIN <br />LEGAL SERVICES OF SQUIRE, SANDERS, & DEMPSEY <br />IN CONNECTION WITH LEGAL MATTERS RELATING TO <br />THE FINANCING OF CAPITAL IMPROVEMENTS AND <br />OTHER TRANSACTIONS AS MAY BE REQUESTED FROM <br />TIME-TO-TIME BY THE DIRECTOR OF LAW AS <br />AUTHORIZED BY COUNCIL, AND DECLARING AN <br />EMERGENCY. <br />BE IT ORDAINED BY THE COUNCIL OF HAYFIELD VILLAGE, OHIO, THAT: <br />Section 1. The legal services of the law firm of Squire, <br />Sanders & Dempsey are hereby retained, such legal services to be <br />in the nature of legal advice, opinions, recommendations and <br />preparation of recommended documents and proceedings as may from <br />time-to-time be requested by the Director of Law, as authorized by <br />Council, as to legal matters relating to the financing of Village <br />capital improvements and in connection with other transactions.. <br />In rendering such legal services, as an independent contractor and <br />in an attorney-client relationship, said law firm shall not exercise <br />any administrative discretion on behalf of the municipality in the <br />formulation of public policy, expenditure.of public funds enforcement <br />of laws, rules and regulations of the State, any County, or Cities <br />or this Village, for the execution of public trusts. The retention <br />of such services may be terminated at any time by either party by <br />written notice to the other. <br />Section .2. For the legal services designated in Section 1, <br />the said law firm shall be paid reasonable fees as approved by the <br />Council, and shall be reimbursed for actual out-of-pocket expenses <br />including, but not limited to, travel, long distance, telephone <br />and duplicating expenses, incurred in rendering such legal services, <br />from funds appropriated, or that may be appropriated, by this Council <br />from time-to-time for such purpose. <br />Section 3. That the Council finds and determines that all <br />formal actions of this Council relating to the adoption of this <br />Ordinance have been taken at open meetings of this Council; and that <br />deliberations of this Council and of its committees, resulting in <br />such formal action, took place in meetings open to the public, in <br />compliance with all statutory requirements; including the requirements <br />of Section 121.22 of the Ohio Revised Code. <br />Section 4. This Ordinance is hereby declared to be an <br />emergency measure immediately necessary for the preservation of the <br />
