RESOLUTION N0. 86- 63 <br />INTRODUCED BY: Mayor Fred N. Carmen <br />A RESOLUTION GRANTING APPROVAL OF MAYFIELD VILLAGE <br />FOR THE TRANSFER OF CONTROL OF ITS CABLE <br />TELEVISION FRANCHISEE, TELERAMA, INC., dba VIACOM <br />CABLEVISION OF CLEVELAND, TO VIACOM CABLEVISION OF <br />CLEVELAND INCo AND DECLARING AN EMERGENCY. <br />WHEREAS, Telerama, Inc., a wholly owned subsidiary of Viacom <br />International, Inc., is franchised to provide cable television service <br />in Mayfield Village; and <br />WHEREAS, an investor group led by the senior management <br />personnel of Telerama, Inc., is engaged in a transaction involving a <br />merger between Viacom and a newly created corporation, as fully <br />explained in a communication dated November 4, 1986; and <br />WHEREAS, a new wholly owned subsidiary of Telerama, Inc., <br />Viacom Cablevision of Cleveland Inc., has agreed to assume anc3 be <br />bound by all applicable cable television franchise terms and <br />conditions in Mayfield Village; and <br />BE IT RESOLVED BY THE COUNCIL OF MAYFIELD VILLAGE, OHIO, THAT: <br />Section 1. The Mayor and Council of Mayfield Village <br />hereby grant their approval to permit the transfer of control of <br />Telerama, Ince, dba Viacom Cablevision of Cleveland, to Viacom <br />Cablevision of Cleveland Inc., as set forth in the letter dated <br />November 4, 1986. The Mayor and Council further consent to the <br />assignment of all applicable cable television franchise obligations to <br />Viacom Cablevision of Cleveland, Inc. <br />Section 2. That the Council finds and determines that all <br />formal actions of this Council relating to the adoption of this <br />Resolution have been taken at open meetings of this Council; and that <br />deliberations of this Council and of its committees, resulting in such <br />formal action, took place in meetings open to the public, in <br />compliance with all statutory requirements including the requirements <br />of Section 121022 of the Ohio Revised Code. <br />Section 3. This Resolution is hereby declared to be an <br />emergency measure necessary for the immediate preservation of the <br />health, safety and welfare of the residents of Mayfield Village for <br />the reason that the assignment and transfer of control authorized <br />herein is necessary to assist the cable franchisee in its contemplated <br />merger.
