1. The Contractor is hereby granted the franchise, license and privilege within the territorial jurisdiction of the Village and shall furnish all personnel, labor, equipment, trucks and all other items necessary, to provide refuse collection, removal and disposal services as specified and to perform all of the work called for and described in the Contract docu- ments. As of the date of this Contract, the Village has taken all appropriate action necessary to lawfully grant such franchise to Contractor. 2. The Contract shall be £or a period of three (3) years beginning August 1, 1988, and ending July 31, 1991, for a rate of Six Dollars and Five Cents ($6.05) per home per month, together with a charge of One Hundred Ninety Dollars ($190.00) per month for rubbish removal at the Village Hall and Service Building, with a ten percent (107) increase in said prices to take effect per annum on the anniversary date of the Contract. 3. The Contract documents shall include the following documents and this Contract does hereby expressly incorporate same herein as £ully as if set forth verbatim in this Contract, a copy of which is attached hereto and made a part hereof as "Exhibit A": Note: Items A-H are in the Rubbish Removal (2nd bid) file folder - Clerk of Council '88 fi1e. k A. The Request for Proposals; B. The Instructions to Proponents; C. The Contractor's Proposal; D. The General Specifications; E. The Resolution of Mayfield Village Council ordering or authorizing the work and services contemplated herein; F. The Performance Bond; G. This Instrument; and H. Any addenda or changes in the foregoing documents agreed to by the parties hereto. 4. It is the controlling intention of both the Village and Contractor that the Contractor shall at all times occupy the status of an independent contractor and pot that of any employee, agent or legal representative of the Village.
