RESOLUTION N0. 88-47 <br />INTRODUCED BY: Mayor Carmen & Council as a Whole <br />A RESOLUTION <br />GRANfING APPROVAL OF MAYFIffi.D VILLAGE <br />FOR THS TRANSFER OF CONTROL OF ITS <br />CABLE Tffi,EVISION FRANCHISSS, VIACOM CABLL+VISION, <br />Tp C.anr.RVrSION SYSTEMS CORPORATION <br />AND DSCLARING AN ffiSffitGSNCY <br />WHERREAS, the Council of Mayfield Village, Ohio, has previously adopted <br />Resolution 87-27 approving the merger of Viacom Cablevision with National <br />Amusements, Inc; and <br />{HEREAS, Viacom Cablevision now advised the municipality that it intends <br />to sell the stock of its subsidiary corporation which owns and operates the <br />franchise in Mayfield Village to Cablevision Systems Corporation, as more <br />fully explained in a written communication dated September 16, 1988; and <br />WHEREAS, Cablevision Systems Corporation will be the surviving <br />corporation o£ this sale and has agreed to assume and be bound by all <br />applicable cable television franchise terms and conditions in May£ield <br />Village; now, therefore, <br />BE IT RESOLVED BY THE COUNCIL OF MAYFIELD VILLAGE, OHIO, THAT: <br />SECTION 1. The Mayor and Council of Mayfield Village, Ohio, hereby <br />grant their approval to permit the sale of Viacom to Cablevision Systems <br />Corporation, as set forth in the written communication from Viacom dated <br />September 16, 1988. <br />SECTION 2. The Council finds and determines that all formal actions of <br />this Council relating to the adoption of this Resolution have been taken at <br />open meetings of this Council; and that deliberations of this Council and of <br />its committees, resulting in such formal action, took place in meetings open <br />to the public, in compliance with all statutory requirements including the <br />requirements of Section 121.22 of the Ohio Revised Code. <br />SECTION 3: This Resolution is hereby declared to be an emergency measure <br />necessary for the immediate preservation of the health, safety and welfare of <br />the residents of Mayfield Village for the reason that the authorization con- <br />tained herein is necessary to permit the subject merger activity to commence.
