3. The Village will pay the Contractor in four (4) equal monthly <br />installments commencing December 15, 1988, and continuing <br />thereafter on the 15th of each month for a period of four (4) <br />months. <br />4. It is the controlling intention of both the Village and <br />Contractor that the Contractor shall at all times occupy <br />the status of an independent contractor and not that o£ <br />any employee, agent or legal representative of the Village. <br />5. In the event that Contractor requests permission to park <br />Contractor-owned vehicles on Village property and the Service <br />Director/Building Commissioner grant such permission, it is <br />understood and agreed that the Village assume no liability <br />whatsoever £or any damage, vandalism or destruction, whether <br />minor or major, to said vehicles while parked on said prop- <br />erty, nor will any damage, vandalism or destruction of said <br />vehicles be considered to excuse the Contractor from its <br />obligation to perform under this Contract. <br />6. All provisions of the Contract documents shall be complied <br />with and conformed to by the Contractor, and no amendment to <br />this Contract shall be made except upon the written consent of <br />the parties. <br />.- ? <br />No amendment shall be construed to release either party <br />£rom any obligation of the Contract documents except as <br />specifically provided for in such amendments. <br />7. This Contract is entered into subject to the following <br />conditions: <br />A. The Contractor shall procure and keep in full force <br />and effect throughout the term of this Contract all <br />of the insurance policies and certificates including, <br />but not limited to, motor vehicle insurance, public <br />liability and property damage insurance. <br />B. In the event that any provision or portion thereof <br />of any Contract document shall be determined to be <br />invalid or unenforceable by any Court o£ Law, then <br />the parties hereto shall negotiate in good £aith and <br />agree to such amendments, modifications or supple- <br />ments of or to the Contract documents as shall, <br />to the maximum extent practical in light of such <br />determinations, implement and give e£fect to the <br />intentions of the parties as reflected herein. The <br />other provisions of the Contract documents shall, as <br />so amended, modified or supplemented, remain in full <br />force and e£fect. <br />8. Contractor shall indemnify and save harmless the Village and <br />all of its executives, representatives, officers, agents, <br />Page 2 of 3
