(~ <br />AGREEMENT <br />THIS AGREEMENT is entered into this 20th day of Aril , <br />1987 by and between THE CITY OF HIGHLAND HEIGHTS, OHIO, an Ohio Muni- <br />cipal Corporation, located at 5827 Highland Road, Highland Heights, <br />Ohio, hereinafter referred to as the "City" and HAYFIELD VILLAGE, <br />OHIO, an Ohio Municipal Corporation, located at 6621 Wilson Mills <br />Road, Mayfield Village, Ohio, hereinafter referred to as "Village". <br />WHEREAS, the State and Federal Governments in a cooperative <br />effort will be reconstructing Wilson Mills Road in the City and <br />Village from S.O.M. Center Road to Lander Road; and <br />WHEREAS, included in the aforesaid reconstruction project is <br />the installation of a TRAC system, an actuated traffic flow control <br />system designed to improve the flow of Wilson Mills Road traffic; and <br />WHEREAS, the Cuyahoga County Engineer has required that the <br />City and Village enter into an agreement to jointly maintain the TRAC <br />system since its design and function is such that it benefits both <br />municipalities on the basis of traffic flow through each and further- <br />more since several of the intersections included within the TRAC <br />system traverse the boundaries of the two (2) municipalities; and <br />WHEREAS, it has previously been determined that fifty four <br />percent (548) of the TRAC system is located in the Village and forty <br />six percent (46~) in the City and that the maintenance cost should be <br />apportioned accordingly; now, therefore, <br />~ I T ~ ~ ~ ~ E T H: <br />1. The City and Village do hereby agree to jointly maintain <br />the TRAC system to be installed on Wilson Mills Road in conjunction <br />with the Wilson Mills reconstruction project. <br />2. The Village shall select the contractor to maintain the <br />TRAC system and in so doing shall require that the contractor meet the <br />standards and requirements of the contractor retained to maintain <br />other traffic signals and devices throughout the Village. In the <br />event the City selects a contractor other than that selected by the <br />Village for the remainder of its traffic control signals and devices, <br />the City shall advise such contractor that the traffic signals and <br />devices included within the TRAC system are under the exclusive <br />maintenance control of the contractor selected by the Village. <br />3.
