4) The charges referred to in Paragraph No. 3 herein, and set forth in Attachment A, shall be billed to Village at intervals of thirty (30) days after the starting date of the rendering of each particular service set forth in Attachment A according to the starting date provided for therein. All invoices are payable within ten (10) days of the date of invoicing. 5) All specifications, hardware equipment, tapes and programs utilized or developed by R.I.T.A. in connection with this Agreement are and remain the property of R.I.T.A., in whole or in part, and subject to certain agreements previously entered into by R.I.T.A., Master Sublicensor, and others, unless otherwise specifically provided herein. 6) It is agreed between the parties herein that all data and information furnished to Village by R.I.T.A. is to be regarded by the parties as confidential and trade secrets of R.I.T.A. or Master Sublicensor, and remain the sole property thereof. 7) R.I.T.A. shall use due care in processing city's work, but R.I.T.A. shall be responsible only to the extent of correcting any errors which are due to R.I.T.A.'s machines, operators or programmers. Further, R.I.T.A.'s liability under this Agreement shall extend only to Village and R.I.T.A.'s liability with respect to this Agreement is limited to its charges for that part of the services wherein any such error occurred and no special, consequential or exemplary damages may be recovered. Said liability shall not extend to any third person £or any damages which said third person may incur, directly or indirectly, as a result of the error or omissions of the Village. Further, R.I.T.A. shall, at its option, have the right to reprocess, to correct any errors for which it may be responsible, in full satisfaction of all City's claims. 8) R.I.T.A. shall use its best efforts to avoid computer downtime during the life of this Agreement. However, R.I.T.A. shall not be liable for any claims by the Village resulting from computer downtime as long as said downtime is not the result of any intentional action on the part of R.I.T.A. 9) R.I.T.A. agrees that its data processing services fox Village shall meet high quality standards and that its software will be upgraded to the highest available standards. However, this Agreement is predicated on data received from the Village to be correct, complete, and in the appropriate form. R.I.T.A. is not responsible for the accuracy of any data supplied by Village for input into the system. The Village agrees to reimburse R.I.T.A. at their standard rates for its additional work in preparing the furnished data to the necessary condition for processing by R.I.T.A. machines and equipment, if such data is not transmitted in correct, complete and appropriate form. R.I.T.A. agrees to notify Village in advance whenever possible that such work is necessary.
