EXHIBIT "A" <br />STATE OF OHIO } <br />} ss: <br />COUNTY OF CUYAHOGA ) <br />This Easement Agreement is entered into as of the day and year last executed below, by <br />and between HAYFIELD VILLAGE, OHIO, 6622 Wilson Mills Road, Mayfield Village, Ohio <br />44143, an Ohio Municipal Corporation under the laws of the State of Ohio (the "Village"), and <br />PROGRESSIVE DIRECT INSURANCE COMPANY, 6300 Wilson Mills Road, Mayfield <br />Village, Ohio 44143, an Ohio corporation ("Progressive"). <br />RECITALS: <br />WHEREAS, Progressive is the owner in fee simple of real property and improvements <br />thereon {if any}, located in the Village of Mayf eld, County of Cuyahoga and State of Ohio, such <br />property being known for tax purposes as Parcel ~No. 831-13-015 and Parcel No. 831-11-031, as <br />further depicted as the "Progressive Property" on Exhibit "A" and described on Exhibit "A-1", <br />attached hereto and incorporated herein (the "Progressive Property"); <br />WHEREAS, the Village is the owner in fee simple of real property and the improvements <br />thereon (if any), located in the Village of Mayfield, County of Cuyahoga and State of Ohio, such <br />property being known for tax purposes as Parcel No. 831-11-009, as further depicted as the <br />"Village Property" on Exhibit "A" and described on Exhibit "A-2", attached hereto and <br />incorporated herein (the "Village Property"); and <br />WHEREAS, the parties desire to provide for the easements and related matters set forth <br />in this Agreement; <br />NOW, THEREFORE, for valuable good consideration received, the receipt and <br />Buff ciency of which are hereby acknowledged, the parties agree as follows: <br />1. Grant by Pro ear ssive. Subject to the terms and conditions of this Agreement, <br />Progressive hereby grants, bargains, sells, and conveys to the Village, a perpetual easement for <br />purposes of constructing, operating, maintaining, and repairing an underground fiber optic or <br />other telecommunications line or lines and related installations, at any time by the Village, its <br />heirs, successors, or assigns, in and across the northernmost ten (10) feet of the easternmost <br />parcel comprising the Progressive Property,~as further depicted and described in Exhibit "B", <br />attached hereto and incorporated herein (the "Progressive Easement"}.
