growing out of the Grantee's use of the easement parcel and the use of said <br />easement parcel by any contractor or invitee of the Grantee. <br />ix. The Grantee agrees to indemnify Grantor against all ones, <br />penalties or losses incurred for or by reason of the violation by the Grantee of any <br />statute, ordinance, regulation, rule or law due to Grantee's use of the easement <br />parcel. <br />x. The Grantee agrees to indemnify and hold harmless Grantor <br />against any negative impact on wetlands, or any requirement to relocate said <br />telecommunications line easement if deemed necessary as a result of a finding <br />that said easement has resulted in a negative impact on wetlands in the area. In <br />the event said easement is required to be relocated, the Grantee agrees to.relocate <br />said easement to another location agreeable to the Grantor, at the Grantee's sole <br />cost and expense. <br />xi. The Grantee further covenants with said Grantor, its successors <br />and assigns that said Grantor is well seized of said premises and is authorized <br />fully to execute this easement deed. <br />TO HAVE AND TO HOLD, {i) the Progressive Easement to HAYFIELD VILLAGE, OHIO, its <br />successors and assigns, forever for the use and purpose herein before mentioned, and {ii} the <br />Village Easement to PROGRESSIVE DIRECT INSURANCE COMPANY, its successors and <br />assigns, forever for the use and purpose herein before mentioned. <br />IN WITNESS WHEREOF, the parties hereto have executed this Reciprocal Easement <br />Agreement on the day and year last executed below. <br />HAYFIELD VILLAGE, OHIO <br />Mayor, Bruce G.
