Subgrantee's final invoice and summary document (as described in "Exhibit C, Task IV - "Final <br />Report" must be received by NOACA no later than 30 days after the project completion date <br />specified in Paragraph 3 of the contract. NOACA may disallow, at its discretion, payment of all <br />or part of a final invoice received after this deadline. <br />III. Completion of Project: It is agreed that in no event will the maximum compensation and <br />reimbursement, if any, to be paid to the Subgrantee under this contract exceed $42,200 and that <br />the Subgrantee expressly agrees that it shall do, perform and carry out in a satisfactory and <br />proper manner, as determined by NOACA, all of the work and services described in Exhibit C. <br />IV. Access to Records: The Subgrantee agrees that NOACA, ODOT and, if appropriate, the <br />Comptroller General of the United States, or any of their duly authorized representatives, shall <br />have access to any books, documents, papers and records of the Subgrantee which are directly <br />pertinent to the project for the purpose of making audit, examination, excerpts and transcriptions. <br />The Subgrantee agrees that failure to carry out requirements set forth above shall constitute a <br />breach of contract and may result in termination of this agreement by NOACA or such other <br />remedy as NOACA deems appropriate. <br />V. NOACA's Designated Agent. NOACA's Executive Director designates Michelle Johnson <br />(or her successor) NOACA's TLCI Project Manager for purposes of this contract only, except for <br />executing amendments. <br />VI. Project Identification Number (PID#). Subgrantee is required to have the PID number on <br />every document that is submitted to NOACA. The PID# for this grant is 76640. No document <br />submitted to NOACA by Subgrantee will be accepted without this number on the document. <br />VII. TLCI Agreement Number. Subgrantee is required to have the Agreement number on every <br />document that is submitted to NOACA. The Agreement Number for this grant is TLCI-08- <br />Mayfield Village. No document submitted to NOACA by Subgrantee will be accepted without <br />this number on the document. <br />VIII. TLCI Invoice Number. Subgrantee is required to have the Agreement number on every <br />invoice that is submitted to NOACA. The first invoice submitted shall be TLCI-08-Mayfield <br />Village-P1 then numbered successively afterwards (i.e. P2, P3, P4...). No invoice will be <br />eligible for reimbursement without the invoice number. <br />IX. TLCI Report Number. Reports shall be submitted monthly, no later than the 10th of each <br />month. Subgrantee is required to have the Agreement number on every report that is submitted <br />to NOACA. The first report submitted shall be TLCI-08-Mayfield Village-Rl then <br />numbered successively afterwards (i.e. R2, R3, R4...). <br />
