without reimbursement of any fees, payments, or other consideration previously made with <br />respect thereto, and from and after such time OneCommunity shall have no further rights or <br />obligations hereunder with respect to the OneCommunity Fibers and/or the Additional Fibers. <br />Termination of this Agreement shall have no effect on the obligations of the Parties set forth in <br />the Fiber Facilities Agreement. <br />Section 4. Use of IRU <br />4.1 Exclusive Rights. OneCommunity may use the OneCommunity Fibers and the <br />Additional Fibers for any lawful purpose. The Village will have no right to use the <br />OneCommunity Fibers or the Additional Fibers during the Term or any extended Term of this <br />Agreement except in the event of a OneCommunity default of the Fiber Facilities Agreement or <br />as otherwise set forth herein. <br />4.2 Notice of Damage. OneCommunity will promptly notify the Village of any matters <br />pertaining to any damage or impending damage to or loss of the use of the OneCommunity <br />Fibers or the Additional Fibers that are known to it and that could reasonably be expected to <br />adversely affect the System. The Village will promptly notify OneCommunity of any matters <br />pertaining to any damage or impending damage to or loss of the System that are known to it and <br />that could reasonably be expected to adversely affect the OneCommunity Fibers or the <br />Additional Fibers. <br />4.3 Preventing Interference with Other Fibers. Neither the Village nor OneCommunity <br />shall use equipment, technologies, or methods of operation that interfere in any way with or <br />adversely affect the System or the use of the System by the other Party or third parties or their <br />respective fibers, equipment, or facilities associated therewith. Each Party shall take all <br />reasonable precautions to prevent damage to the System or to fibers used or owned by the other <br />Party or third parties. Notwithstanding the above, the provisions of this Section shall not prevent <br />a Party from using commercially reasonable equipment, technologies, or methods of operation if <br />the interference or adverse effect on the other Party or a third party results primarily from such <br />other Party or third party's use of equipment, technologies, or methods of operation that are not <br />commercially reasonable or that are not standard in the telecommunications industry. <br />4.4 Liens. OneCommunity will not cause or permit the OneCommunity Fibers or the <br />Additional Fibers to become subject to any mechanic's, materialmen's, or vendor's lien, or any <br />similar lien. The Village will not cause or permit any of OneCommunity's rights under this <br />Agreement to become subject to any mechanic's, materialmen's, or vendor's lien, or any similar <br />lien. If a Party breaches its obligations under this Section, it shall immediately notify the other <br />Party in writing, shall promptly cause such lien to be discharged and released of record without <br />cost to the other Party, and shall indemnify the other Party against all costs and expenses <br />(including reasonable attorneys' fees and court costs at trial and on appeal) incurred in <br />discharging and releasing such lien. <br />Section 5. Connections/Access <br />5.1 OneCommunity will have complete access to the OneCommunity Fibers and the <br />Additional Fibers.
