16. This agreement shall be binding on and inure to the benefit of the parties, their <br />legal representa.tive, and assigns, wherever permitted in this Agreement or by <br />operation of law. <br />17. TIus agreement shall not be modified in any manner except by written Agreement <br />of all participati.ng municipalities. <br />18. This Agreement and all of its rights, duties and obligations imposed hereunder <br />shall be governed by a1I the laws and statutes of the State of Ohio. <br />19. Should any portion of this Agreement for any reason be declazea by a court of <br />competent jurisdiction to be unreasonable or invalid, any such unreasonable <br />portion sha11 be enforceable to the extent deemed reasonable by such court and <br />any such invalidity. sha11 not afFect the remaining portions. of this Agreement, <br />which remaining portions shall continue in full force and effect as if this <br />Agreement had been executed with the invalid portion thezeof eliminated, it being <br />the intention of the parties that they would have executed the remai.ning portion of <br />tlus Agreement without including any such invalid portion. <br />20. Any notice or coznmunication which is required or may be given pursuant to the <br />terms of this Agreement shall be in writing and shall be deemed to have been , <br />sufficiently given if delivered personally or be registered or certified mail, return <br />ieceipt requested to the mayor of the participating municipality. <br />21. This Agreement shall not become effective or otherwise obligate the parties <br />without the passage of any and all appropriate legislative approval. This <br />Agreement shall become effective upon execution of the appropriate legislation <br />and upon execution of this Agreement. This Agreement may be executed iu <br />multiple counterparts, each of which shall be deemed an original and ail of which <br />together shall constitute one Agreement, by each of the parties hereto on the dates <br />respectively indicated. <br />22. The participating municipalities shall use their reasonable, diligent and good faith <br />efforts, and shall cooperate with and assist each other in their efforts, to obtain <br />such consents and approvals of third parties to the establishment of the Hillcrest <br />Regional Fire Investigation Strike Force. <br />In witness whereof, we have hereunto set our hands this day of <br />Page 5 of 9
