PURCHASE AGREEMENT <br />This AGREEMENT is made and entered into this day of , 2002, <br />between NADETTE NASSERI ,(hereinafter called "Seller") and the VILLAGE OF <br />MAYFIELD (hereinafter called "Buyer"). <br />WHEREAS, the Buyer is the Village of Mayfield, which is located in the County of <br />Cuyahoga, State of Ohio, and is fully authorized to enter into this Agreement; and <br />WHEREAS, Seller agrees to sell to Buyer and Buyer agrees to purchase the <br />following described real estate, with any appurtenances, located in the County of <br />Cuyahoga, Village of Mayfield, and State of Ohio: <br />586 S.O.M. Center Road <br />The terms of the Agreement are as follows: <br />1. PURCHASE PRICE. The Seller agrees to sell and the Buyer agrees to <br />purchase the real estate set forth above for the sum of <br />Dollars ($ ), payable in full on the date set for closing of this matter. <br />Such purchase shall be contingent upon Village Council's approval which shall be <br />obtained no later than ninety (90) days from the execution of this Agreement. <br />2. THE PREMISES. The purchase price set forth above shall include 1.0 acre <br />of vacant land, also known as one-half of Permanent Parcel No. 831-11-015. <br />3. POSSESSION. Buyer shall be entitled to take possession of said <br />premises on the date set for the closing of this matter. Seller shall be responsible for <br />any and all utilities consumed upon the premises, until possession is transferred to <br />Buyer. Buyer and Seller shall cooperate to have any and all utilities transferred as of the <br />date of possession and Seller shall order final meter readings as of said date. <br />4. TAXES. Seller shall pay all delinquent taxes, including penalties and <br />interest, and all other real estate taxes which are a lien on the closing date, prorated to
