Brett July 8, 2004 Page 2 of 3 To provide more convenient access to other side streets in the project corridor, URS will also redesign the spacing of the pull boxes on the east side of S.O.M. Center Road to provide access to innerduct at the following intersecting streets: Sandalwood Drive Highland Road Metro Park Drive Hickory Hill Drive Modifications to the innerduct design will be provided in spreadsheet form. A cost estimate will also be provided. Once the Village has approved the plan and cost estimate, URS will request a proposal from Lakes Construction to provide the additional work. COMPENSATION URS requests compensation for the professional services specified above in the amount of Two Thousand Four Hundred Dollars ($2,400). All work will be directed by Gerard M. Neugebauer, P.E. and be completed within one week of the Village's authorization to proceed. PAYMENT Payments shall be made monthly within thirty (30) days after receipt of URS' invoice by the City based upon Project percent completion. Interest shall be paid at the rate of one and one-half percent (1.5%) per month for all payments made 60 days after receipt of URS' invoice by the City. LIABILITY The City agrees to limit URS' liability to the City due to URS' acts, errors, or omissions, such that the total aggregate liability of URS shall not exceed the total fee between the City and URS for this Agreement. INDEMNIFICATION The City agrees to hold harmless, indemnify, and defend URS from any and all claims, suits including third party suits, demands, expenses, or damages arising from or alleged to arise from the conduct of the work under this project, except for those claims or damages finally determined to have arisen solely from the negligent acts, negligent errors or omissions of URS.
