Development Agreement between Skod~y Minotti Properties, LLC & Company and Mayfield ~Ilage <br />5. ACCESS AND COST OF FIBER OPTIC NETWORK: <br />In the event that the Village constructs and operates a fiber optic network in and <br />around 6685 Beta Drive or any other location where Skoda, Minotti may have <br />operations in the Village, the Village agrees to the extent reasonably possible to <br />provide Skoda, Minotti access to network. In addition, to the degree that the <br />Village controls the cost of accessing such a network and to the degree permitted <br />by any and all federal, state or local laws and regulations, the Village will make <br />every reasonable step possible to provide Skoda, Minotti access to such network <br />at the lowest possible cost. It is understood that such costs may need to be <br />calculated in arrears and may be subject to audit. In no event shall Skoda, <br />Minotti be charged for access to the network at a cost less than what the Village <br />incurs to provide such access to Skoda. It is understood that he lowest cost <br />charged will be at a minimum the variable cost of providing such access to Skoda <br />but may also include a reasonable allocation of the fixed costs of providing such <br />access. <br />6. ENTIRE AGREEMENT <br />This Agreement constitutes the entire agreement of the parties concerning the <br />subject matter hereof and supersedes all prior and contemporaneous <br />agreements, understandings and arrangements concerning such subject matter. <br />Page 3 of 4 <br />
