~4.CEdwar~cls&~Son N,Inc <br />We view our purpose as twofold; first, to minimize the effort required by the Village to <br />achieve an effective debt management program and second, to maximize the mazket <br />acceptability of the Village's bonds. Our proposed services will include five components: <br />1. Review the Village's Financial Profile and Develop a Financing Plan. <br />2. Assistance with the Preparation of the Preliminary Official Statement, <br />Final Official Statement and other Financial and Legal Documents. <br />3. Rating Agency and Insurance Company Preparation. <br />4. Negotiate the Bond Sale. <br />5. Post-sale Services. <br />Review the Village's Financial Profile and Develop a Financing Plan <br />It is in this review that the important parameters will be defined for eventually marketing <br />the debt. The review will consist of: <br />1. Consult Village officials, bond counsel, and others to determine the <br />financing objectives; <br />2. Incorporate a review of the Village's "Pro-forma" capital plan with future <br />capital and operating needs and alternative revenue growth scenarios. <br />3. Develop along-term financing plan considering all financing sources <br />(grants, subsidized loans, public debt sales, etc.) and a complete set of debt <br />policies; <br />4. Thoroughly analyze issue size and structural alternatives in light of the <br />Village's financing goals <br />Preparation of the Official Statement and Other Supporting Documents <br />A.G. Edwards assistance in preparing the Official Statement includes drafting sections, <br />compiling and formatting financial data, researching useful economic outlook <br />information and reviewing and editing each draft along with bond ~ counsel and the <br />Village. It is in the Village's best interest to distribute a thoroughly researched and <br />impeccably prepared Official Statement to potential investors, rating agencies and <br />insurance companies. It is our job to facilitate that end. The difference between a <br />mediocre Official Statement and one prepazed professionally and comprehensively can <br />reveal itself in the interest rates or bond rating (or insurance premium, if applicable) <br />obtained by the Village for its bonds. A.G. Edwards will: <br />1. Provide advice and assistance to bond counsel in the development and <br />preparation of all supporting legal documents relevant to the financing; <br />2. Coordinate the development of the documents pertaining to the acquisition <br />of any credit enhancement facility; and <br />3.
