TERMS AND CONDITIONS OF AGREEiV1ENT BETWEEN OWNER AND ARCHITECT
<br />ARTICLE 1
<br />ARCHITECT'S RESPONSIBILITIES
<br />1.1 ARCHITECT'S SERVICES
<br />1.1.1 The Architect's services consist of those services per-
<br />formed by the Architect, Architect's emplo}'ees and Architect's
<br />consultants as enumeraced in Ar[ides 2 and 3 oF this Agreement
<br />and anv other services included in Article 12.
<br />1.1.2 The Architecc's services sh:ill be performed as espedi-
<br />tiously as is consistent 'With professional skill and care and the
<br />orderly progress of the \vork. Upon request oF Che Owner, the
<br />Architect shall submit for the Owner's approval a schedule for
<br />the perFormance of Lhe Archirecc's services cvhich may be
<br />adjusted as the Project proceects, and shall indude allowances
<br />For periods of time required for the Owner's review and for
<br />approval of submissions by authorities having jurisdiction over
<br />the Prniect Time limits esui.h!?shPd b}, !his SChe:{llle 1p(Jroved
<br />by the O,?vner shall not, excep[ for reason:iUle caiue, be exceeded
<br />by the Architect or Owner.
<br />1.1.3 The services covered by this Agreement are subjec[ to
<br />the [ime limiiations contained in Subparagraph 11.5.1.
<br />ARTICLE 2
<br />SCOPE OF ARCHITECT'S BASIC SERVICES
<br />2.1 DtFINITION
<br />2.1.1 The Architect's B:uic Services cotisist of those clescribed
<br />in Paragraphs 2.2 through 2.6 and any o[her services identified
<br />in Article 12 as part of Basic Services, and include normal s[ruc-
<br />tural, mechanical and elec[rical engineering services.
<br />2.2 SCHEMATIC DESIGN PHASE
<br />2.2.1 The Architect shall review the program furnished by the
<br />Owner Lo ascertain the requirements of the Project and shall
<br />arrive at a mutual understanding of such requiremen[s with the
<br />Owner.
<br />2.2.2 The Architect shall provide a preliminary evaluation of
<br />the Owner's program, schedule and construction budget
<br />requirements, each in [erms of the other, subject to the limita-
<br />tions set fortli in Subparagraph 5.2.1.
<br />2.2.3 The Architect shall review wid1 the Owner alternative
<br />approaches to design and cons[rucEion of the Projec[.
<br />2.2.4 Based on the mutually agreed-upon program, schedule
<br />and construccion budget requirements, the Architect shall
<br />prepare, for approval by the Owner, Schema[ic Design Docu-
<br />ments consisting of drawings and other documen[s illustrating
<br />the sc:ile :und relationship of Project componen[s.
<br />2.2.5 The Architec[ shall submit to the Owner a preliminary
<br />estimaCe of Construction Cost based on current area, volume or
<br />ocher uni[ costs.
<br />2.3 DESIGN DEVELOPMENT PHASE
<br />2.3.1 B:ised on the approvect Schemacic Design Documents
<br />and any adjustments authorized by the Owner in the progr:un,
<br />schedule or conscruction budget, the Architect shall prepare,
<br />for approval by the O\vner, Design Development Documcnts
<br />consisting of drawings and otiier documents to fix and describe
<br />the size and character of the Projec[ as ro architectural, su-uc-
<br />[ur:il, mechanical and elec[rical sys[ems, matericils and such
<br />other elemenCS :;s mav be appropriate.
<br />2.3.2 The Archicect shall advise the Owner of any adjustments
<br />Lo the preliminary escimace of Construction Cost.
<br />2.4 ,CONSTRUCTION DOCUMENTS PHASE
<br />2.4:1 Based on the approved Design Development Docu-
<br />ments and any further adjustments in the scope or qu:ility of
<br />the Projec[ or in the construccion budget au[horized by the
<br />O,?vner, ihe Architect shall prepare, for approval by the O??ner,
<br />Construction Documents consisting of Drawings and Specifica-
<br />tions setting forth in detail the requirements for the construc-
<br />[ion of the Project.
<br />2.4.2 The Archirect shall assis< the Owner in the preparation of
<br />che necessary bidding information, bidding forms, the Condi-
<br />tions of the Contract, and ihe form of AgreemenL between the
<br />O,,;%-ner and Contractor.
<br />2.4.3 The Architect shall advise the Owner of any adjustments
<br />[o previous preliminar}• estimates of Conscruction Cost indi-
<br />cated by changes in requirements or general market condi;ion5.
<br />2.4.4 Th.. Architec[ shall assist the Owner in connection wich
<br />the Owner's responsibilicy Eor :,,ing documents required for
<br />the approval of governmental authorities having jurisdiction
<br />over the Project.
<br />2.5 BIDDING OR NEGOTIATION PHASE
<br />2.5.1 The Archicect, follo,?ving the Owner's approval of the
<br />Construc[ion Documents and of the la[est preliminary estimate
<br />of Construction Cost, shall assist the Owner in obtaining bids
<br />or negotiated proposals and assist in awarding and preparing
<br />coniraccs for construction. '
<br />2.6 CONSTRUCTION PHASE-ADMINISTRATION
<br />OF THE CONSTRUCTION CONTRACT
<br />2.6.1 The Architect's responsibility to provide Basic Services
<br />for the Construction Phase under [his Agreement commences
<br />with the award of the Contract for Construction and terminates
<br />ac the earlier of the issuance to the Owner of the Final Certificate
<br />for Payment or 60 days after the date of Subscantial Completion
<br />of the Work, unless extended under the terms of Subparagraph
<br />10.3.3.
<br />2.6.2 The Architect sh:dl provide adminiscration of the Con-
<br />[raci for Construction as set forth below and in the edition of
<br />AIA Document A201, General Conditions of the Concract for
<br />Construction, curren[ as of the dace oF this Agreemen[, unless
<br />o[herwise provided in this Agreement.
<br />2.6.3 Duties, responsibilicies and limitations of authoriry of the
<br />Archi[ect shall not be restricted, modified or extended without
<br />written agreement of the Owner and Architect with consent of
<br />the Contracror, which consent shall not be unreasonably
<br />withheld.
