L AGREEMENT BY AND BETWEEN THE VILLAGE OF MAYFIELD, OHIO AND MAYSOM LIMITED PARTNERSHIP AND CLARKWOOD PROPERTIES WHEREAS, Mayfield Village, Ohio ("Village") and Maysom Limited Partnership and Clarkwood Properties ("Partners") desire to enter into this Agreement which will memorialize their understandings relative to approximately 140 acres of property which is owned by the Partners, and which is the subject matter of proposed Village Ordinance 92-34; and WHEREAS, the Village and the Partners desire to work together in an effort to develop a proposal for residential uses for the property that would be supported by both the Village and the Partners, and to prepare a zoning ordinance consistent with use desired by both, the parties agree as follows: WHEREAS, both parties further agree that the individuals executing this Agreement on the day of December, 1992, have full authority to do so. l. The property owners, Maysom Limited Partnership and Clarkwood Properties agree that during the period of this Agreement they will not apply for building permits under the existing "layer cake" zonings; 2. The Village agrees that during the period of this Agreement, it will defer any final vote of its Village Council on proposed Ordinance 92-34 or any other ordinances for the rezoning of the property which is the subject of Ordinance 92-34; and 3. That during this Agreement, the Partners agree that any assignment made by them of their respective interest in and to the subject property to any other person or entity, will be made subject to this Agreement with the Village; and 4. This Agreement shall remain in effect to the first day of March, 1993, unless extended further through a mutual agreement of the parties. , - _.i ? • Witness L--, Jeffr y I.
