RESOLUTION NO. 2009-11 <br />INTRODUCED BY: Mayor Rinker and Council as a Whole <br />AN EMERGENCY RESOLUTION <br />AUTHORIZING THE FINANCE DIRECTOR, <br />RONALD C. WYNNE, IN ACCORDAlVCE WITH <br />THE LAWS OF THE STATE OF OHIO, CHARTER AND <br />CODIFIED ORDINANCES OF MAYFIELD VILLAGE, OI3IO, <br />TO CONDUCT CERTAIN FINANCIAL TRANSACTIONS <br />WITH COMPUTEI2SHARE INVESTOR SERVICES <br />REGARDING SHARES HELD BY THE VILLAGE Ul`TDER <br />ACCOUNT NUMBER C0000305901 <br />WI-IF-REAS, at this time, the Village maintains shares in a company known as <br />Wellpoint, Inc:; and <br />WUEREAS, the transfer agent and holder of those shares, Computershare Investor <br />Services, has requested a certified resolution naming the officer(s) authorized to conduct <br />financial transactions on behalf of the Village. <br />NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF MAYFIELD <br />VILLAGE, OHIO, THAT: <br />SECTION 1. It is hereby and herein certified that Ronald C. Wynne, Finance <br />Director for Mayfield Village, Ohio, in accordance with the laws of the State of Ohio and <br />the Village's Charter and Codified Ordinance, is authorized to conduct financial <br />transactions on behalf of the Village. <br />SECTION 2. The Council finds and determines that all formal actions of the <br />Council relating to the adoption of this Resolution have been taken at open meetings of <br />this Council; and that deliberations of this Council and of its committees, resulting in <br />such formal action, took place in meetings open to the public in compliance with all <br />statutory requirements including the requirements of Section 121.22 of the Ohio Revised <br />Code. <br />SECTION 3. This Resolution is hereby declared to be an emergency measure <br />necessary for the immediate preservation of the health, safety and welfare of the residents <br />of Mayfield Village. It shall, therefore, take effect immediately upon passage by the
