funding, services, materials, facilities or other benefits. In the event additional Anchor <br />Partners are identified the Parties will review such candidate's credit-worthiness, <br />financial strength, reputation, personnel talent and other elements deemed appropriate <br />by the Parties to include in this Agreement and the CIZ Program. <br />10. Termination of Agreement. This Agreement shall automatically terminate upon <br />the completion of all Obligations; provided, however, that if the Parties desire to pursue <br />funding under subsequent phases of the CIZ Program, this Agreement may be <br />extended by the participating Parties. <br />11. Reimbursement of Expenses. The Village agrees to reimburse the Alliance of its <br />out of pocket expenses, including reasonable attorney fees, to participate in the CIZ <br />Program up to .The Alliance will submit invoices to the Village <br />and Project Coordinator with such reasonable detail as may be necessary to confirm the <br />nature of the invoice. The Village will reimburse the Alliance within thirty (30) days of <br />the receipt of an invoice. <br />12. Notices. All notices, demands and requests required or permitted to be given under <br />this Agreement (collectively the "Notices") must be in writing and must be delivered <br />personally (with written confirmation thereof), sent by nationally recognized overnight <br />courier (subject to written delivery confirmation thereof) or sent by United States <br />certified mail, return receipt requested, postage prepaid and addressed to the parties at <br />their respective addresses set forth below, and the same shall be effective upon receipt <br />or refusal.
