PURCHASE AGREEMENT <br />This AGREEMENT is made and entered into this day of <br />2006, between JOHN R. COTTON and JOAN F. COTTON, 6826 Meadowood Drive, <br />Mayfield Village, Ohio 44143 (hereinafter called "Seller") and the VILLAGE OF <br />MAYFIELD, 6622 Wilson Mills Road, Mayfield Village, Ohio 44143 (hereinafter called <br />"Buyer"). <br />WHEREAS, the Buyer is the Village of Mayfield, which is located in the County of <br />Cuyahoga, State of Ohio, and is fully authorized to enter into this Agreement; and <br />WHEREAS, Seller agrees to sell to Buyer and Buyer agrees to purchase the <br />following described real estate, with any appurtenances, located in the County of <br />Cuyahoga, Village of Mayfield, and State of Ohio: <br />6826 Meadowood Drive, Permanent Parcel No. 831-22-025. <br />The terms of the Agreement are as follows: <br />1. PURCHASE PRICE. The Seller agrees to sell and the Buyer agrees to <br />purchase the real estate set forth above for the sum as set forth pursuant to Section 3 of <br />the Option and Right of First Refusal to Purchase Real Estate, the amount of which will <br />be payable in full on the date set for closing of this matter. Such price shall be <br />contingent upon Village Council's approval. <br />2. THE PREMISES. The purchase price of the premises and personal <br />property shall include: the premises, the building and improvements therein, all fixtures, <br />specifically but not limited to all electrical, heating, plumbing and bathroom fixtures, all <br />light bulbs, landscaping, window and door shades and coverings, screen and storm <br />windows, all curtains, drapes and rods, all hanging lighting fixtures, all tacked-down <br />carpeting, any built in bookcases and cabinets, stove and/or oven, and all attached <br />mirrors and storage cabinets; provided, however, Seller reserves the right to remove the
