and the Trail shall be considered part of the Premises for purposes of municipal requireinents <br />such as zoning, density, front, rear and side yard requirements and the like. <br />12. Licensee wilI inunediately repair any and all damages of any kind whatsoever <br />resulting from Licensee's use of the Trail or suiYOUnding Premises or will pay Licensor <br />immediately for any and all damages to Licensor's facilities and access drives located oi- whicll <br />may subsequently be located on Licensoz-'s Premises which proximately may result fi-om <br />Licensee's use of tl7e Premises. <br />13. In the event of default by Licensee in observing t]Ie ternls and conditions of this <br />License, Licensor shall have the right to terminate this License upon twenty (20) days written <br />notice to Licensee; however, if the default by Licensee is conected with said 20-day period, <br />Licensor shall not have the right to terminate this License for such default. Such notice to <br />terminate shall not operate to release the Licensee from the indemnifying provisions contained <br />herein. <br />14. Licensee agrees to release, indemnify, hold harn-iless and defend Licensor and <br />any directors, officers, shareholders, employees agents, successors and assigns of Licensor <br />fr om any and against any and all claims, actions, administrative proceedings, judgments, liens, <br />demands, damages, actions or causes of action, together with any and all losses, costs or <br />expenses in connection therewith or related thereto, including reasonable attorneys' fees, <br />arising from or in any manner growing out of Licensee's use of said Trail or surrounding <br />premises and the use of said Trail or surrounding premises by any invitee of the Licensee of <br />said Trail or surrounding premises, the use, exercise of rights and obligations (or failure to <br />adhere to its obligations) under this License, or the unauthorized use of the Premises by <br />Licensee or any invitee of the Licensee (even if such invitee is determined to be a trespasser <br />4
