existing sites for added protection (redundancy) in the event that the Subscriber's primary <br />connection is not functioning properly at no additional cost other than costs associated with any <br />additional network infrastructure. <br />3.4. Subscriber will assign an operational and technical contact person to coordinate with <br />OneCleveland regarding services being provided under this Agreement. <br />3.5. Subscriber may have a representative on appropriate committees developing operational or <br />engineering plans for the OneCleveland Network. <br />3.6. Subscriber is solely responsible for deternuning its rules and procedures relating to access and <br />appropriate use of the OneCleveland Network connection. <br />3.7. Subscriber is solely responsible for operation and maintenance of its network and its equipment on <br />the Subscriber side of the Demarcation Point. OneCleveland is not responsible for maintaining the <br />security of Subscriber's LAN or for implementing any security protocols or procedures. <br />3.8. Subscriber will provide a secure location for the Demarcation Point and not pernut unauthorized <br />access and will not adjust, repair or tamper with the Equipment or the OneCleveland Network. <br />From time to time, Subscriber will allow OneCleveland access upon reasonable notice in <br />accordance with institutional security policies and during normal business hours to Subscriber's <br />premises as needed to upgrade the OneCleveland Equipment, if any, due to changes in engineering <br />or networking protocols or for other good cause. <br />3.9. Additional Subscriber rights and responsibilities may be identified in any Addenda to this <br />Agreement. <br />4. FEES AlVD PAY19'IENTS. <br />4.1. Subscribers will pay the OneCleveland Fees as are set forth below and in the applicable <br />Addendum. <br />4.1.1.Taxes. The OneCleveland Fees do not include taxes. <br />4.1.2.Except as provided in Section 4.2. Subscribers shall pay sales, use, excise and like taxes <br />that are stated separately on each invoice if applicable to Subscriber. <br />4.2. Subscribers who provide a valid State of Ohio sales tax exemption certificate shall not be charged <br />sales tax. <br />4.3. Invoicing. <br />4.3.1.Subscription Fee Invoice. Upon commencement of this Agreement, OneCleveland shall <br />invoice Subscriber for the one-time OneCleveland Subscription Fee (see Addendum B). <br />4.3.2. Site Connection. Access. Service and Equipment Fees Invoice. Upon Subscriber's order for <br />construction of a connection between Subscriber's site and the OneCleveland Network, <br />OneCleveland shall invoice Subscriber for the one-time Site Connection Fee. Construction <br />of the lateral and procurement of the equipment will begin immediately after receipt of <br />payment of these fees. <br />SSA20051021 Page 3 of 14
