existing sites for added protection (redundancy) in the event that the Subscriber's primary connection is not functioning properly at no additional cost other than costs associated with any additional network infrastructure. 3.4. Subscriber will assign an operational and technical contact person to coordinate with OneCleveland regarding services being provided under this Agreement. 3.5. Subscriber may have a representative on appropriate committees developing operational or engineering plans for the OneCleveland Network. 3.6. Subscriber is solely responsible for deternuning its rules and procedures relating to access and appropriate use of the OneCleveland Network connection. 3.7. Subscriber is solely responsible for operation and maintenance of its network and its equipment on the Subscriber side of the Demarcation Point. OneCleveland is not responsible for maintaining the security of Subscriber's LAN or for implementing any security protocols or procedures. 3.8. Subscriber will provide a secure location for the Demarcation Point and not pernut unauthorized access and will not adjust, repair or tamper with the Equipment or the OneCleveland Network. From time to time, Subscriber will allow OneCleveland access upon reasonable notice in accordance with institutional security policies and during normal business hours to Subscriber's premises as needed to upgrade the OneCleveland Equipment, if any, due to changes in engineering or networking protocols or for other good cause. 3.9. Additional Subscriber rights and responsibilities may be identified in any Addenda to this Agreement. 4. FEES AlVD PAY19'IENTS. 4.1. Subscribers will pay the OneCleveland Fees as are set forth below and in the applicable Addendum. 4.1.1.Taxes. The OneCleveland Fees do not include taxes. 4.1.2.Except as provided in Section 4.2. Subscribers shall pay sales, use, excise and like taxes that are stated separately on each invoice if applicable to Subscriber. 4.2. Subscribers who provide a valid State of Ohio sales tax exemption certificate shall not be charged sales tax. 4.3. Invoicing. 4.3.1.Subscription Fee Invoice. Upon commencement of this Agreement, OneCleveland shall invoice Subscriber for the one-time OneCleveland Subscription Fee (see Addendum B). 4.3.2. Site Connection. Access. Service and Equipment Fees Invoice. Upon Subscriber's order for construction of a connection between Subscriber's site and the OneCleveland Network, OneCleveland shall invoice Subscriber for the one-time Site Connection Fee. Construction of the lateral and procurement of the equipment will begin immediately after receipt of payment of these fees. SSA20051021 Page 3 of 14
