<br />3.2 GEL~RAL CLIENT RESPONSIBILITIES
<br />The Client shall provide full information regarding its requirements
<br />for the Project and any circumstances known to the Client that would
<br />hinder URS' performance or make performance by URS more difficult or
<br />expensive then would ordinarily be expected. The Client shall furnish any
<br />required information and services and shall render approvals and decisions
<br />as expeditiously as necessary for the orderly progress of URS' services
<br />and the Project. If the Client observes or otherwise becomes aware of any
<br />fault or defect in the Project or in the performance of URS, Client shall
<br />promptly give written notice thereof to URS.
<br />3.3 PROJECT SCHIDLILE
<br />If after receiving Notice to Proceed, URS is delayed in the
<br />performance of its services by factors that are beyond its control, URS
<br />shall notify the Client of the delay and shall prepare a revised estimate
<br />of time and if necessary cost needed to complete the Project and shall
<br />submit the revision to the Client for amendment of this Agreement.
<br />Because of the uncertainties inherent in the services contemplated by the
<br />Agreement, time schedules are only estimated schedules that are subject to
<br />revision unless specifically agreed otherwise.
<br />3.4 PROFESSIONAL RESPONSIBILITY
<br />URS represents that the services shall be performed, within the limits
<br />prescribed by this Agreement as amended, in a manner consistent with that
<br />level of care and skill ordinarily exercised by other professional
<br />consultants of the type used in this Project under similar circumstances.
<br />No other representations to Client, express or implied, and no warranty or
<br />guarantee is included or intended in this Agreement, or i.n any report,
<br />opinion, document or otherwise.
<br />3.5 Il~IDEN~TIFICATION
<br />In addition to .any liability or obligation of URS to the Client that
<br />may exist under any other provision of the Agreement or by law or
<br />otherwise, URS agrees to defend, indemnify and save harmless the Client,
<br />his officers, agents and er~loyees from and against any and all claims,
<br />actions, proceedings, liabilities, losses, damages, costs and expenses,
<br />including legal fees and disbursements, which the Client, his officers,
<br />agents, and employees may sustain by reason of any fault, negligent act,
<br />error or omission by URS, his officers, agents, employees or
<br />subcontractors, arising out of the Work of URS under this Agreement.
<br />In addition to any liability or obligation of the Client to URS that
<br />may exist under any other provision of the Agreement or by law or
<br />otherwise, Client agrees to defend, indemnify and save harmless URS, his
<br />officers, agents and employees from and against any and all claims,
<br />actions, proceedings, liabilities, losses, damages, costs and expenses,
<br />including legal fees and disbursements, which URS, his officers, agents,
<br />and employees may sustain by reason of any fault, negligent act, error or
<br />omission by the Client, his officers, agents, employees or subcontractors,
<br />arising out of the Work of Client under this Agreement.
