f • ~ l r 3.9 GOVERNIlVG LAW This Agreement shall be governed by the law of the State of Ohio. 3.10 FIl~fNCTAT, FORECASTS A report prepared by URS pursuant to this Agreement may include a financial forecast. This forecast may be used in estimating the economic potential of the Project. Any use of the final report must conform to the following requirements: 1. The report text with attachments and assumptions must be included in its entirety in any such publication. 2. Any reproduction of URS' report or any reference to the report transmitted to other parties must be approved by URS in writing in advance. Neither URS' name nor the report and the financial projections may be referred to or included as part of any representation made in connection with the sale of securities or participation interests to the public, whether through a public or private offering. The. information used in developing the forecast assumptions will be derived from published information and other sources URS considers appropriate. However, URS cannot assume responsibility for the accuracy of such material. Moreover, forecasts are subject to many uncertainties as to the future; therefore, URS cannot represent that the projected financial statements will be representative of the results that actually will occur. URS will endeavor to include appropriate comments drawing the readers' attention to these matters. Prior to delivery of any report, URS may require a written statement from the Client in which the Client represents that all pertinent information has been supplied to URS and that the Client concurs with the assumptions and forecast presentation. URS shall have no obligation to update any report or to revise prospective financial results because of events and transactions occur7-ing subsequent to the date of the report, and each report will bear a statement to this effect.
