AGI~EI~!~1~TT THIS AGREEMEI~!-T' is made and entered into this _day of , 2012 by and bet<ueen HAYFIELD VILLAGE, an Ohio municipal corporation, 6622 Wilson Mills Road, Mayfield Village, Ohio 44143; (hereinafter "I~~ayfield Village"); in accordance wish Ordinance No. 30 -2012, passed by the Council of Hayfield Village on November 19, , 2012, and the VILLAGE OF GATES MILLS, an Ohio municipal corporation, 1470 Chagrin River Road, Gates 1~ilills; Ohio 44040; (hereinafter "Gates Mills"), in accordance uTith Resolution No. 2012- _passed bythe Council of Gates HiIls on , 2012. VdHEREAS, HAYFIELD VILLAGE and GATES MILLS are both municipal corporations established pursuant to the Constitution and the laws of the State of Ohio; and VdHEREAS, Section 9.60 of the Ohio Revised Code provides that municipal corporations may contract with each other far fire protection services, including but not limited to ambulance and emergency medical service; and WHEREAS, in 2009, 1ViAYFIELD VILLAGE entered into an agreement urth GATES HILLS whereby HAYFIELD VILLAGE provided ambulance and EHS services to GATES MILLS for calendar years 2010; 2011, and 2012. WHEREAS; that said agreement terminates on December 31, 2012; and WHEREAS, at this time the Mayor and Council of GATES MILLS have determined that it is in the best interest of the municipality to continue to contract with MAAYFIELD VILLAGE for ambulance and emergency medical services only; and WHEREAS, the parties wish to set forth the terms of said agreement hereinafter. NOW, THEREFORE, it is agreed between the parties as follows: 1) The term of this Agreement shall be for a period of three years commencing January 1, 2013 through Iecember 31, 2015. Either party hereto may ternunate this agreement by giving written notice to the other party of intention to terminate the contract. Notice shall be given six (6) months prior to the expiration date of `she existing contract and shall state with particularity the reason for such termination. 2) HAYFIELD VILLAGE shall furnish emergency medical ser~rices in accordance with ~e a~ached p~°ovBSic~~s and the Ohio Department of Public Health and Safety, Division of Emergency Medical Services regulations on a twenty-faun (24) hour-a-day basis. 3) In consideration of Hayfield Village providing these services to Gates Hills, Gates Mills shall pay Mayfield Village a cost determined as follows: ~xh; ~~~
