Assignment, Severability, Surv(vability, Successors and Assigns 13.1. Assignment. Neither party tnay assign any rights or obligations under this Agreement without the other party's prior wrltten consent, except that either party may assign this Agreement, after thirty (30) days prfor written notice, to a parent company ar controllec4;affiliate {but only so aong as it remains so controlled}. Mayfield Village may su6contract any service or obligation to be performed for Subscriber, but Mayfleld Village will be tesponsible under the terms of this Agreement. 13.2. SeverabiEitv. If any provislon of this Agreement is illegal or unenforceable, the Agreement's unaffected provisions will remain in effect. 13.3. Survivabilitv. The terms and conditions of this Agreement regarding confdential information, indemnification, warranties, payment and all others that by their context are intended to survive the expiration date of this Agreement wiEl survive and continue in effect. 13.4. Saccessors and Assigns. This Agreement shall inure to the benefit of and be binding on the parties and their respective successors and permitted assigns. Conflicts 14.1.
