1.12. "Term" means the terrn of the Agreement as set out in Section 6 of the Agreement. <br />2. Rights and Responsibilities <br />Bofih parties acknowledge and agree that this Subscriber Service Agreement is governed by the Master Services <br />Agreement dated October 15, 2009 between OneCommunity and Mayfield Vi(Iage, as it may be amended from <br />#ime to time. <br />2.1. OneCornmunity under agreement with Mayfield Village: <br />(a) OneCommunftywill manage and monitor aEl equipment that is part of the Mayfield Village and OneCommunity <br />Network connection up to the point of demarcation. <br />(b) OneCommunity shall be responsib{e for insuring the equipment that it owns as part of the OneCommunity <br />Network. <br />{c} Decisions regarding the techn3cal requirements, implementation process, operational or engineering plans <br />#or the OneCommunity Network will be made by OneCommunity at its sole discretion after due consideration <br />of Subscriber input. If changes to Equipment are required, OneCommunity wifl schedule and make changes in <br />a mutually acceptable maintenance wlndow. <br />(d) A4E services provided by OneCommunity hereunder shall be consistent with fndustry standards for <br />computer network services, shall be rendered In a manner consfstent w3th that levet of care and skifl ordinarily <br />exercised by the Industry, and In compliance with all federal, state, and loca! {aws and regulatfons. <br />(e) OneCommunity shail provide services as described in Addendum A. <br />(f) Additional OneCommunity rlghts and responsibilities may be identEfied in any executed Addenda to thls <br />Agreement. <br />2.2. Subscriber. <br />(a) Subscriber will provide afl routers, switches, or other equipment necessary to support its internal network, <br />which conform to the minimum technical requirernents as specified by oneCommunity. Subscriber will <br />designate one of Subscriber's routers/swltches from which Subscriber fiber will connect to the OneCommunity <br />Network. <br />(b) Substriber is responsible for installation, maintenance, and repaEr of castomer-premises fiber between the <br />pemarcation Point for the connection and the Subscriber's switch or router. <br />(c) Subscriber, solely at its own discretion and expense but consistent with OneCommunity's technical <br />requirements, may at any time elect to provide diverse connections to OneCommunity from its existing sites <br />for added protection (redundancy) at no additional cost other than costs associatad with any additional <br />network infrastructure. <br />{d} Subscr+ber will assign an operational and technical contact person to coordinate with OneCommunity <br />regarding services being provided under this Agreement. <br />(e) Subscrlber may have a representative on approprEate commEttees developing operational or engineering <br />pians for the OneCommunity Network, ' <br />{f} Subscriber ls solely responsible for determining its rules and procedures relating to access and appropriate <br />use of the OneCommunity Network connection. <br />? <br />onecomimunity <br />Page 2 of 9 <br />Revislon 541412.2
